Article 2 This Association is a national non-profit social organization that represents the educational circles in China to carry out unofficial educational exchanges and cooperation.
Article 3 The purpose of this Association is to cooperate with the implementation of the national strategy of "rejuvenating the country through science and education", to meet the needs of China's socialist modernization, to actively promote exchanges and cooperation between China's educational circles and those of other countries (regions), to promote the development of education, science and culture, to enhance the understanding and friendship among people of various countries (regions), to abide by the Constitution, laws and regulations, to abide by national policies and to abide by social ethics.
Article 4 This Association accepts the professional guidance, supervision and management of the Ministry of Education and the Ministry of Civil Affairs.

(a) to promote the establishment and development of inter-school contacts, exchanges and cooperation between Chinese and foreign schools at all levels;
(two) to cooperate with foreign educational institutions and colleges to carry out the training of educational talents at all levels;
(3) Holding multilateral or bilateral international education conferences, seminars and exhibitions;
(4) Undertaking educational projects funded by foreign educational institutions;
(five) to undertake educational cooperation projects entrusted by the China Municipal Government;
(6) Hiring foreign teachers to teach in China;
(7) Organizing overseas teachers, students and educators to study, inspect and visit in China;
(eight) to send China teachers to teach or study abroad;
(nine) to organize educators at all levels in China to go abroad for comprehensive or professional education visits and inspections;
(ten) to undertake the consulting business of studying abroad;
(eleven) to organize the editing and publishing of important publications introducing education in China;
(twelve) to raise funds for international education exchange;
(thirteen) to assist local educational international exchange associations and group members to carry out educational exchange activities. Article 7 The Association accepts group members.
Article 8 A group member applying to join this Association must meet the following conditions:
(1) Supporting the articles of association;
(two) have the will to join the association, willing to accept the task entrusted by the association;
(3) Educational institutions that have a certain influence in society.
The procedures for joining the ninth group members are:
(1) Submit an application for membership to the secretariat of the Association Office;
(two) discussed and approved by the Standing Council;
(3) the approval of the president;
(4) The membership card shall be issued by the secretariat of the Association.
Article 10 Directors shall be elected by the units to which the group members belong, and directors and group members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in relevant activities organized by the association;
(three) the priority of obtaining the services of the association;
(four) criticism and supervision of the work of the association;
(5) Freedom to join and quit voluntarily.
Article 11 Directors and group members shall perform the following obligations:
(1) Implementing the resolutions of the Association;
(two) to safeguard the legitimate rights and interests of the association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(five) to reflect the situation to the association and provide relevant information.
Article 12 When a group member withdraws from the meeting, it shall notify the secretariat of the association in writing and return the membership card.
If a group member fails to pay the membership fee within 1 year, or fails to participate in the relevant activities organized by the association, and cannot complete the relevant work assigned by the association, it will be regarded as automatic withdrawal.
Thirteenth group members who seriously violate the articles of association shall be removed by the Standing Council. Article 14 The highest authority of this Association is the Council, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing the executive director, president and vice president;
(three) to consider the work report, financial report and work plan of the Standing Council;
(4) Electing honorary presidents and advisers of the Association;
(5) Deciding on other major matters.
Article 15 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 16 The term of office of the Council is generally five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Standing Council, reported to the competent business unit for review, and approved by the registration authority of the Association. However, the longest extension shall not exceed 1 year.
Article 17 The Association shall establish a standing council composed of directors.
Elected, exercising its functions and powers when the Legislative Council is not in session, and being responsible to the Legislative Council.
Article 18 The functions and powers of the Standing Council are:
(1) Implementing the resolutions of the Council;
(2) Nominating the President, Vice President and Secretary General to the Council;
(3) Preparing for convening the Council;
(4) Submitting work reports, financial reports and work plans to the Council;
(five) to discuss and vote on the absorption and removal of members;
(6) Deciding to establish the secretariat, branches, representative offices and entity institutions of the Association;
(seven) to supervise the implementation of the internal management system of the association;
(eight) to supervise the collection and use of China Education International Exchange Fund;
(9) Deciding on other major matters.
Article 19 The Council shall meet every two or three years; Under special circumstances, an exchange meeting can also be held.
Article 20 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the executive directors present at the meeting.
Article 21 The Standing Council shall meet once or twice a year; Under special circumstances, an exchange meeting can also be held.
Article 22 The president, vice-president and secretary-general of the Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality, high professional level;
(2) It has great influence in the field of education;
(3) The maximum working age of the president, vice-president and secretary-general shall not exceed 70 in principle, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 23 The term of office of the president, vice-president and secretary-general of the Association shall be five years, and the longest term shall not exceed two. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the directors of the Council, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.
Article 24 The Secretary-General of the Association is the legal representative of the Association.
The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 25 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the Council and the Standing Council;
(three) on behalf of the association to meet with important people from relevant parties, discuss important issues and sign important documents;
(four) to decide on the collection and use of China Education International Exchange Fund;
(five) to make a work report on behalf of the Standing Council and submit the next work plan of the Council;
(six) to approve the absorption and delisting of member units;
(seven) to approve the main person in charge of each department of the Association Secretariat.
Article 26 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office secretariat, and organize the implementation of the annual work plan and financial budget and final accounts;
(2) Coordinating the work of various offices and member units of the Secretariat;
(3) Nominating candidates for Deputy Secretary-General and submitting them to the Standing Council for decision;
(four) put forward the candidates for the principal responsible persons of all departments of the secretariat of the Association and report them to the President for approval;
(five) to decide on the employment of full-time staff in all departments of the secretariat of the Association;
(six) responsible for the collection and use of China education international exchange fund;
(seven) entrusted by the president and vice president to handle other daily affairs. Twenty-seventh sources of funding for this Association:
(a) special government funding and special funding;
(two) domestic and foreign funding and donations;
(3) Income from carrying out paid service exchange activities;
(4) membership fees;
(5) interest;
(6) Other lawful income.
Article 28 the association collects membership fees in accordance with relevant state regulations.
Article 29 the funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.
Thirtieth Association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 31 The Association shall be staffed with accountants with professional qualifications. An accountant may not concurrently serve as a cashier. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 32 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the board of directors and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 33 Before an association changes or changes its legal representative, it must accept the financial audit organized by the association management organ and the competent business unit.
Article 34 No unit or individual may occupy, privately divide or misappropriate the property of this Association.
Article 35 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions. Article 36 Any amendment to the articles of association of this Association must be approved by the Council and submitted to the Standing Council for deliberation.
Article 37 The revised articles of association of this Association shall come into effect after being reviewed and approved by the Council and reported to the relevant departments of the Ministry of Civil Affairs for approval. Article 38 If the Association completes its purpose, dissolves or needs to be revoked due to division or merger, the Standing Council shall propose a termination motion.
Article 39 A motion to terminate this Association shall be approved by the Council and submitted to the Ministry of Education for examination and approval.
Article 40 Before the termination of this Association, a liquidation organization shall be established under the guidance of the Ministry of Education and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 41 The Association shall be terminated after the cancellation of registration by the organization registration authority.
Article 42 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the Ministry of Education and the Ministry of Civil Affairs and in accordance with relevant state regulations. Article 43 The right to interpret the Articles of Association belongs to the Standing Council of the Association.
Article 44 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
