Chapter I General Principles
Article 1 The name of this group is China Educational Technology Association (CAET for short).
Article 2 China Educational Technology Association is a national educational technology mass, academic and non-profit social organization voluntarily composed of various schools, enterprises, audio-visual education research institutions and educational technicians from the education departments of relevant ministries and commissions.
Article 3 The purpose of this Association is to unite all kinds of educational technology research institutions and educational technology workers in China, adhere to the Party's basic line, abide by the Constitution, laws, regulations and national policies, observe social morality, implement the principles and policies of the Party and the state on education and educational technology, actively carry out educational technology cooperation, research, exchange and promotion activities, develop China's educational technology, promote educational reform and improve the quality of education.
Article 4 This Association accepts the professional guidance, supervision and management of the General Office of the Ministry of Education of People's Republic of China (PRC) and the Administration of Non-governmental Organizations of the Ministry of Civil Affairs.
Article 5 The office address of this Association isNo. 160, Fuxingmennei Street, Beijing.
Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:
(a) to publicize the status and role of educational technology, and to promote the attention, support and participation of all sectors of society in the work of educational technology;
(two) to organize and coordinate educational technology research, hold various academic activities, and popularize the achievements and experiences of educational technology research;
(three) to provide consulting services for the educational technology decision-making of the administrative department of education;
(four) training educational technology management cadres, teachers, theoretical researchers and technicians;
(5) Editing and publishing books and materials and exchanging educational technology information;
(six) to strengthen ties with relevant international organizations and carry out academic exchange activities;
(seven) to organize experts to identify, evaluate, popularize and display educational technology products, and to carry out consultation on new technologies and equipment;
(eight) to accept the tasks entrusted by the Ministry of education.
Chapter III Members
Article 7 Members of this Association are divided into unit members and individual members. All provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning and the State Council ministries, systematic radio and television education (distance education) and educational technology (educational technology) associations, societies, research associations and representative enterprises, schools and educational technology institutions can become group members of this association.
Anyone who has been engaged in the teaching, research and management of educational technology for a long time, engaged in the technical and management work of educational technology software and hardware production, and has middle and senior professional and technical titles, can become an individual member of this association.
Article 8 A member applying to join this Association must meet the following requirements:
(1) Supporting the articles of association;
(2) Having the will to join this Association;
(three) has a certain influence in the business (industry, discipline) of this association;
(4) Fulfilling the obligations of membership.
Article 9 The procedures for joining the club are as follows:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(three) issued by the Association Secretariat to membership certificate.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of this association;
(three) the priority of obtaining the service of this association;
(four) have the right to criticize, suggest and supervise the work of this association;
(5) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations:
(a) to implement the resolutions of this Council;
(two) to safeguard the legitimate rights and interests of this association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(five) to reflect the situation to the association and provide relevant information;
(six) support the activities of this association, provide or assist this association to solve the conditions for carrying out activities.
Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this association for one year, it will be deemed as automatic withdrawal.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(five) to discuss and decide on the working principles and tasks of this association;
(six) to decide on other major issues.
Fifteenth members' congress can only be held when more than two-thirds of the members are present, and its resolutions can only take effect when more than half of the members are present to vote.
Article 16 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.
Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the institutions of the Association to carry out their work;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year. Under special circumstances, an exchange meeting can also be held.
Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8 and 9 when the Council is not in session, and is responsible to the Council.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Twenty-fifth the president, vice president and secretary-general of this association are over the maximum working age, which shall be approved by the Council and reported to the general office of the Ministry of Education for examination and approval by the civil affairs department.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years (the term of office of the President, Vice-President and Secretary-General shall not exceed two terms at the longest). If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members of the general assembly, reported to the general office of the Ministry of Education for review, and approved by the Administration of Civil Affairs Non-governmental Organizations.
Article 27 The president of this Association is the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(3) Signing relevant important documents on behalf of the Association.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the secretariat of the Association and organize the implementation of the annual work plan;
(two) to coordinate the work of professional committees, subordinate organizations of all provinces, autonomous regions, municipalities directly under the central government and cities under separate state planning, and subordinate organizations of ministries and commissions;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of various professional committees and submitting them to the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 30 The economic sources of this Association are:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 31 the association collects membership fees in accordance with relevant state regulations.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the assets come from state grants or social donations or subsidies, they must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.
Article 36 Before changing its legal representative, the Association must accept the financial audit organized by the Civil Affairs Bureau of the Ministry of Civil Affairs, the General Office of the Ministry of Education and the Department of Audio-visual Education.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.
Article 40 The revised articles of association of this Association shall come into effect within 15 days after being adopted by the members' congress, deliberated and adopted by the General Office of the Ministry of Education and approved by the Administration of Civil Affairs.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If the association has fulfilled its purpose or is dissolved or needs to be revoked due to division or merger, the Council shall propose a termination motion.
Forty-second the motion to terminate this association must be voted by the members' congress and submitted to the general office of the Ministry of Education for examination and approval.
Forty-third before the termination of this association, a liquidation organization should be established under the guidance of the general office of the Ministry of Education and the Department of Audio-visual Education to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 The Association shall be terminated after the cancellation of registration by the Civil Affairs Bureau.
Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the General Office of the Ministry of Education and the Administration of Non-governmental Organizations of the Ministry of Civil Affairs in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was adopted by the general meeting of members on April 6, 2009.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the Administration of Non-governmental Organizations of the Ministry of Civil Affairs.
