Constitution of Capital Internet Association
Article 1 The name of this Association is: Capital Internet Association (English name is "Beijing Internet Association").

Article 2 This Association is jointly established by enterprises, institutions and individuals engaged in the Internet industry and Internet-related industries in Beijing, as well as people from all walks of life who are committed to promoting the development of the Internet industry in the capital. It is a non-profit social organization approved and registered by Beijing Social Organization Registration Administration.

Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and national policies, abide by social ethics, adhere to the principle of "active utilization, scientific development, management according to law and ensuring safety", promote the construction of socialist core value system, vigorously promote the fashion of network civilization, assume social responsibilities, establish self-discipline mechanism, formulate professional norms, coordinate membership relations, safeguard members' rights and interests, shape industry image, improve the management level of virtual society and maintain.

Article 4 This Association accepts the professional guidance, supervision and management of the Propaganda Department of the Beijing Municipal Committee of the Communist Party of China and the Beijing Civil Affairs Bureau, the registration and management organ of social organizations.

Article 5 The office address of the Association: Floor 5, Beijing Federation of Industry and Commerce Building, No.22 Baiqiao Street, Guangqumen, Beijing. Article 7 This Association consists of individual members and unit members.

Article 8 A member applying to join this Association must meet the following conditions: (1) Support the articles of association of this Association; (2) Having the will to join this Association; (three) has a certain influence in the industry and discipline of this association.

Article 9 Membership procedures are as follows: (1) Submit an application for membership; (2) discussed and adopted by the Council; (3) The membership card shall be issued by the Council or an organization authorized by the Council.

Article 10 Members shall enjoy the following rights: (1) The right to vote, to be elected and to vote; (two) the right to participate in the activities of this association; (three) the priority of obtaining the service of this association; (four) have the right to criticize, suggest and supervise the work of this association; (five) have the right to ask the association to safeguard their legitimate rights and interests; (six) have the right to report and complain about the unfair competition behavior of members who violate the articles of association and the convention, and ask the association to take corresponding measures; (seven) have the right to request the association to coordinate the relationship between the competent government departments and other relevant units; (eight) the right of other members to participate in the evaluation; (9) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations: (1) Implementing the resolutions of this Association; (two) to safeguard the legitimate rights and interests and reputation of this association; (three) to complete the work assigned by the association; (four) to pay membership fees in accordance with the provisions; (five) to reflect the situation to the association and provide relevant information; (6) Signing the Convention on Self-discipline of the Internet Industry in Beijing and abiding by its provisions; (seven) accept the evaluation of members, abide by the evaluation articles of association, and implement the evaluation results; (eight) maintain unity, enhance cooperation, and do not do things that harm the common interests and reputation of the industry.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this association for one year, it will be deemed as automatic withdrawal.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council. Article 14 The highest authority of this Association is the general meeting of members, whose main duties are: (1) to formulate and amend the articles of association; (2) Electing and dismissing directors and supervisors; (3) Reviewing the work reports and financial reports of the board of directors and the board of supervisors; (4) Deciding on major changes and termination; (five) to formulate and revise the membership fee standards; (six) to decide on other major issues.

Fifteenth members' congress can only be held when more than two thirds of the members are present, and its resolutions can only take effect when more than two thirds of the members are present to vote.

Article 16 The general meeting of members shall be held every four years. 30 days before the convening of the general meeting, the preparatory materials for the general meeting shall be sent to the competent business unit and the social organization registration authority for review, and the general meeting can be convened only after it is confirmed that the conditions for the general meeting are met. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the social organization registration administration organ. However, the term of office shall not be extended for more than one year.

Article 17 When the general meeting is not in session, the Council shall implement the resolutions of the general meeting, lead the Association to carry out its daily work and be responsible for the general meeting.

Article 18 The duties of the Council are: (1) to implement the resolutions of the general meeting of members; (two) to elect and recall the president, vice president and secretary general; (3) Preparing for convening a general meeting of members; (four) to report the work and financial situation to the general assembly; (five) to decide to absorb or recall members; (6) To decide on the establishment of offices, branches, representative offices and entities and the change of office domicile; (seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions; (eight) to lead the institutions of the Association to carry out their work; (nine) to formulate internal management system; (ten) to accept the opinions of the board of supervisors on the disciplinary issues of the association, put forward solutions and accept their supervision; (eleven) to decide on other major issues.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year.

Article 21 The Association shall establish a standing council consisting of 36 standing directors. The executive director is elected from among the directors. When the Council is not in session, the Standing Council shall exercise the following functions and powers and be responsible to the Council: (1) to implement the resolutions of the general meeting of members; (2) Preparing for convening a general meeting of members; (3) Deciding to accept or expel members; (4) Deciding on the establishment of offices, branches, representative offices and entities and the change of office space; (five) to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of various institutions; (six) to lead the institutions of the Association to carry out their work; (seven) to formulate internal management system; (eight) to accept the opinions put forward by the board of supervisors on the disciplinary issues of the association, put forward solutions and accept their supervision. The term of office of the Standing Council is the same as that of the Council and changes at the same time.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall meet at least once every six months.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions: (1) Adhere to the Party's line, principles and policies and have good political quality; (2) It has great influence in the business field of the Association; (3) The maximum working age is no more than 70 years old, and the secretary-general is full-time; (4) Being in good health and able to stick to normal work; (5) Having not been subjected to criminal punishment of deprivation of political rights; (6) Having full capacity for civil conduct.

Article 25 The legal representative of this Association is the President. The legal representative of this Association shall not be the legal representative of other social organizations at the same time. The term of office of the president shall not exceed two terms.

Article 26 The President of the Association shall exercise the following functions and powers: (1) Convene and preside over the Council and the Standing Council; (two) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council; (3) Signing relevant important documents on behalf of the Association.

Article 27 The Secretary-General of the Association shall exercise the following functions and powers: (1) Preside over the daily work of the office and organize the implementation of the annual work plan; (2) Coordinating the work of branches, representative offices and entities; (3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision; (four) to decide on the employment of full-time staff of offices, representative offices and entities; (5) Handle other daily affairs.

Article 28 The Association shall have a board of supervisors, consisting of 65,438+03 members, elected by the general meeting of members and responsible for the general meeting of members. Its main duties are: (1) to elect supervisors; (2) Attending the Council and the Standing Council; (3) To supervise the activities of the association and its leading members in accordance with the Regulations on the Administration of Registration of Social Organizations and relevant laws and regulations; (four) to urge the association and its leading members to carry out activities in accordance with the approved articles of association, business scope and internal management system; (five) to supervise the behavior of members of this Association who violate the discipline of this Association and damage the reputation of this Association; (six) to supervise the financial situation of the association; (seven) put forward opinions on the violations of laws and regulations of this association, and submit them to the Council and the Standing Council for deliberation and supervision. Twenty-ninth sources of funds for this association: (1) membership fees; (2) donation; (3) government funding; (4) Income from activities or services provided within the approved business scope; (5) interest; (6) Other lawful income.

Article 30 The Association shall collect membership fees according to the membership fee standards formulated or revised by the general meeting.

Article 31 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 32 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 33 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 34 The asset management of this Association shall implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and relevant departments. If the source of assets belongs to government subsidies or social donations or subsidies, it must accept the supervision of audit institutions and publish relevant information to the public in an appropriate way.

Article 35 Before changing its legal representative, this Association must accept the financial audit organized by the registration authority of social organizations and the competent business unit.

Article 36 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 37 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions. Article 38 If an association completes its purpose, disbands itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 39 The motion to terminate this Association must be voted by the general meeting of members and submitted to the competent business unit for examination and approval.

Article 40 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 41 The Association shall be terminated after the registration of social organizations is cancelled by the registration authority.

Article 42 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business units and the registration and administration organs of social organizations in accordance with relevant state regulations. Article 43 The Articles of Association was adopted by the general meeting of members on July 6, 2002.

Article 44 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 45 The Articles of Association shall come into force as of the date of approval by the social organization registration authority.
