Chapter I General Principles

Article 1 Name of Association: Guangdong Software Industry Association.

Article 2 This Association is an industrial, local and non-profit social organization voluntarily formed by enterprises and institutions engaged in software research, development, publication, sales and technical services, information system research and development and information services in Guangdong Province.

Article 3 The purpose of this Association is to strengthen cooperation, contacts and exchanges among enterprises, institutions and individuals in Guangdong software industry. Accelerate the informationization of national economy and society, the commercialization and integration of software industry, the commercialization of software management and the collectivization of software enterprises; Open up domestic and foreign software markets and develop China software industry; Give play to the role of the bridge and link between the government, industry organizations and enterprise groups, promote the development of the software industry, abide by the Constitution, laws and national policies, abide by social ethics, carry out related activities in this industry, and serve members.

Article 4 This Association accepts the business guidance, supervision and management of Guangdong Information Industry Department and Guangdong Civil Affairs Department.

Article 5 The domicile of the Association is the 8th floor, No.888 Tianhe North Road, Guangzhou City, Guangdong Province.

Chapter II Scope of Business

Article 6 The business scope of this Association is:

(a) to publicize and implement the relevant national policies and regulations, and to reflect the wishes and requirements of members and industries to the relevant government departments. Assist government departments to formulate, revise and promote industry standards.

(two) the conclusion of industry rules and regulations, standardize industry behavior, improve industry self-discipline, advocate fair competition, safeguard industry interests.

(three) to carry out the protection of software intellectual property rights.

(four) to organize exhibitions, exhibitions, exhibitions and technical exchanges in this industry. Carry out scientific and technological exchanges and experience exchange activities to promote technological progress and management modernization in the industry.

(five) to collect and analyze the technical and economic information of the industry, and to compile the economic and technical information of the industry, so as to provide reference for the decision-making of government departments.

(six) to organize the selection and recommendation activities of outstanding software products in this industry.

(seven) according to the needs of the development of the industry, organize the training and exchange of talents in the industry, and improve the quality of the industry team. Standardize the flow of talents and promote the healthy development of the industry.

(eight) to carry out exchanges and cooperation with foreign counterparts, promote the export of software technology and software products, introduce foreign capital and technology, and promote the internationalization of Guangdong's software industry.

(nine) to complete the relevant work entrusted by government departments.

Chapter III Members

Article 7 Members of this Association are divided into unit members and group members.

All enterprises and institutions engaged in software research, development, sales service, system integration, integrated circuit design and informatization in Guangdong Province can apply for membership. Guangdong Software Industry Association can apply to become a group member. Social celebrities who enthusiastically participate in the work of this association can be recommended as honorary presidents and honorary vice presidents.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) Have the desire to join this association;

(three) has a certain influence in the industry of this association.

Article 9 Membership procedures:

(1) submitting an application for membership;

(2) The membership card shall be issued by the Council or an institution authorized by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) to give priority to the services of this association, except for the work entrusted by the government;

(four) have the right to criticize, suggest and supervise the work of this association;

(five) when the legitimate rights and interests of members are infringed, the association will come forward to defend their rights;

(6) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(a) to implement the resolutions of this Council;

(two) to safeguard the legitimate rights and interests of this association;

(three) to complete the work assigned by the association and actively participate in the activities organized by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the situation to the association and provide relevant information.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card.

A member who fails to pay the membership fee for one year or fails to attend the general meeting for two consecutive years shall be deemed to have withdrawn automatically.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, which is composed of all members' representatives. The functions and powers of the general assembly are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing governing units;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(5) Deciding on other major matters.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote. Members' congresses are held every three years.

Article 16 The Council is composed of member representatives (i.e. directors) of the governing unit, and is the executive body of the general meeting of members. During the intersessional period, lead the association to carry out its daily work and be responsible to the members' congress.

Article 17 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president, executive director and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 18 The board of directors shall be convened only when more than two-thirds of the directors are present, and its resolutions shall take effect only when more than half of the directors vote.

If a director is unable to attend the meeting due to special circumstances, he may entrust an agent to attend the meeting and exercise the right to vote.

Article 19 The Council shall meet at least once a year; Under special circumstances, it can also be held in the form of communication.

Article 20 The Association shall establish a standing council, which shall be elected by the council. When the Council is not in session, it shall exercise the functions and powers listed in Article 17, items 1, 3, 5, 6, 7, 8 and 9, and be responsible to the Council.

Article 21 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only when more than half of the executive directors vote.

Article 22 The Standing Council shall convene a meeting at least once every six months; Special circumstances can also be held in the form of communication.

Article 23 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies and good political quality;

(two) has a great influence in the business field of the association, and is committed to promoting the development of the software industry in the province;

(3) The maximum working age of the president, vice-president and secretary-general is generally no more than 65 years old, and the secretary-general is full-time;

(4) Being in good health and able to stick to normal work;

(5) Abiding by the law and having no criminal record;

(6) Having full capacity for civil conduct.

Article 24 The term of office of the President, Vice-President and Secretary-General of this Association is three years, and may not be re-elected for more than two terms. If the president, vice-president and secretary-general of the association exceed the maximum working age, or need to extend their term of office due to special circumstances, they shall be voted by the members' congress, reported to the competent business unit for examination, and approved by the registration and management authority of the association before taking up their posts.

Article 25 The president of this Association is the legal representative of this Association.

The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 26 The President of this Association shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council;

(3) Signing relevant important documents on behalf of the Association.

Article 27 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of general staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 28 sources of funds of the association

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 29 the association collects membership fees in accordance with relevant state regulations.

Article 30 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members. Classify according to the source of funds, and formulate corresponding management measures.

Article 31 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 32 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 33 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-fourth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 35 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 36 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented in accordance with relevant state regulations.

Chapter VI Procedures for Amending the Articles of Association

Thirty-seventh amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 38 The revised articles of association of this Association shall come into effect within 15 days after being passed by the member representative assembly, reviewed and agreed by the competent business unit, and approved by the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 39 If an association has fulfilled its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Fortieth, the motion to terminate this association must be voted by the general meeting of members and submitted to the competent business unit for examination and approval.

Forty-first before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant parties to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 42 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 43 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration authority of associations in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 44 The Articles of Association was adopted by the members' congress on August 25th, 2005.

Article 45 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 46 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
