Article 1 The name of the Association is the Chinese Astronomical Society, which is translated into English. The English abbreviation is CAS.
Article 2 This Association is a national, academic and public welfare legal person social organization voluntarily composed of China astronomical science and technology workers and relevant units, and it is an important social force for the development of astronomical science and technology in China.
Article 3 The purpose of this Association is to be concise and to the point.
Society abides by national laws and regulations and social morality.
Article 4 The Association accepts the professional guidance, supervision and management of the competent business unit, China Association for Science and Technology, and the Ministry of Civil Affairs, the registration authority of associations.
Article 5 The domicile of this Association is located at Purple Mountain Observatory of China Academy of Sciences in Nanjing, Jiangsu Province.
Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:
(a) to carry out astronomical academic seminars and exchange activities at home and abroad, and promote international non-governmental scientific and technological cooperation and exchanges;
(two) the popularization of astronomical science and technology knowledge, the dissemination of scientific ideas and methods, to carry out various forms of astronomical science popularization activities;
(3) Editing and publishing astronomical books and periodicals;
(four) to discuss and consult China's astronomical development strategy, and accept the entrustment to undertake the demonstration and evaluation of relevant scientific and technological projects, as well as the compilation and review of astronomical scientific and technological documents and standards;
(five) recommend talents, with the approval of government departments, commend and reward members and astronomers who have made outstanding achievements in various business activities;
(6) Promoting astronomy education and continuing education and training for members and astronomers;
(seven) reflect the suggestions, opinions and demands of members and astronomers, and safeguard the legitimate rights and interests of members and astronomers;
(eight) to organize members and scientific and technological workers to put forward scientific and technological suggestions on the formulation of national science and technology policies and regulations and state affairs, and promote the scientific and democratic decision-making;
(nine) to hold other activities to serve members.
Chapter III Members
Article 7 Members of this Association include individual members and unit members. Individual members include ordinary members, honorary members and foreign members. Individual members are the main body of our organization.
Article 8 Anyone who supports the articles of association, can participate in the activities of the association, has a certain academic level and expertise in the subject field of the association, and is willing to join the association may apply to join the association.
Article 9 The specific conditions for all kinds of members are as follows:
(1) Ordinary members shall meet one of the following conditions:
1. Astronomical scientific and technical personnel with technical positions (titles) of assistant researcher, lecturer and engineer or equivalent education;
2. Scientific and technical personnel who have obtained a bachelor's degree or equivalent and have made certain achievements in the field of astronomy;
3. Postgraduates who have obtained a master's degree in astronomy and related disciplines or are pursuing a doctoral degree;
4. Management workers who are enthusiastic about astronomy, actively support the work of the association and have relevant professional knowledge;
5. People who are enthusiastic about astronomy and have made outstanding achievements in astronomy.
(2) Members of the unit
Astronomy-related scientific research, teaching, production and other enterprises, institutions and academic groups have a certain number of scientific and technological teams, and can actively participate in the activities and support the work of the association.
(3) Honorary member
Scientists at home and abroad who have made important contributions to the development of astronomy, achieved high academic achievements, enthusiastically participated in or assisted in organizing scientific and technological exchange activities related to the Association.
(4) Foreign members
Foreign astronomers who support our activities and meet the requirements of ordinary members.
Article 10 The membership procedure is:
(a) individual members, foreign members and unit members:
1. Submit membership application;
2. Introduced by two or more members;
3 by the Council or the Standing Council for discussion and adoption;
4. The Secretariat will issue membership cards.
(2) Honorary members:
1. Two or more directors jointly submit a letter of recommendation;
2. It was discussed and adopted by the Standing Council;
3. Report to China Association for Science and Technology for approval;
4. The honorary membership certificate is awarded by the Chairman or the Secretary-General.
Article 1 1 Rights and obligations of members:
(1) ordinary member
Rights: the right to vote, to be elected and to vote; Participate in the activities of this association; Give priority to our services, relevant academic materials and activity information; Have the right to criticize, suggest and supervise the work of this association; Joining is voluntary and quitting is free.
Obligation: abide by the articles of association of this association; To implement the resolutions of this Council; Safeguard the legitimate rights and interests of this Association; Do a good job in the work entrusted by this association; Actively participate in the activities organized by this association; Pay the membership fee as required.
(2) Members of the unit
Rights: the right to vote, to be elected and to vote; Give priority to participating in relevant activities of the Association; Give priority to obtaining relevant academic materials and activity information of the association; You can ask our association to co-sponsor training courses, workshops, seminars, etc. You can ask this Council to give priority to relevant consultation and services; Joining is voluntary and quitting is free.
Obligation: abide by the articles of association of this association; To implement the resolutions of this Council; Accept the work entrusted by the association; Assist the association to carry out relevant academic and popular science activities; Pay the membership fee as required.
(3) Foreign members
Right: Give priority to the academic publications I will publish; You can apply to attend the academic conference sponsored by our association; Have the right to suggest the work of this association; Freedom to join and leave voluntarily.
Obligation: Support and assist the international exchange activities of the Association; Pay membership dues on time.
(4) Honorary members
Right: priority or free access to academic publications and related materials published by the association; Can be invited to participate in related activities organized by the association.
Obligation: support the work of the Association, send academic materials and communicate information, accept the work entrusted by the Association, assist in academic activities at home and abroad, and recommend experts to give lectures in China.
Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee according to the regulations or fails to participate in the activities of the association in 1 year, and fails to pay the membership fee or participate in the activities after being notified in writing by the association, it will be deemed as automatic withdrawal. If a member commits a serious violation of the articles of association, his membership will be cancelled after being studied and approved by the Council or the Standing Council. If he voluntarily withdraws from the meeting or is cancelled, his membership card will be cancelled immediately.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 13 The highest authority of this Association is the National Congress of its members, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to decide the working principles and tasks of the association;
(four) to consider the work report and financial report of the Council;
(five) to formulate and revise the membership fee standards;
(6) Deciding to terminate and other major matters.
Article 14 Deputies to a member's congress shall be democratically elected or negotiated by members. The National Congress of Members is held every four years to complete the change of the Council. During the national congress, temporary party organizations should be established to strengthen leadership. When the national congress of a member needs to be held in advance or postponed due to special circumstances, it must be decided by the Council, reported to the competent business unit for review, and approved by the registration authority of the association. The longest advance or delay shall not exceed 1 year. The National Congress of Members can only be convened when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present. The formulation and revision of the articles of association shall be adopted by more than two thirds of the members' representatives present at the meeting.
Article 15 The Council is the executive body of the National Congress of Members, responsible for leading the work of the Council and being responsible to the National Congress of Members when it is not in session. The members of the Board of Directors are elected by secret ballot through full deliberation and consultation at the National Congress of Members, and are elected according to the specified amount (about 1/30- 1/50 of the number of members). The term of office of the elected directors shall be four years, and the term of office shall not exceed two consecutive terms, and each term of re-election shall not be less than one third of the number of directors. The composition principles of the Council are as follows:
(1) Directors should be representative in their professional fields to arouse the enthusiasm of all parties;
(2) the proportion of experts, scholars, scientific and technological workers and managers working in the front line is appropriate;
(3) It can better reflect the principle of alternation and cooperation between the old and the new.
Article 16 The functions and powers of the Council are:
(a) to implement the resolutions of the National Congress of Members;
(two) to elect or recall the chairman, vice chairman, secretary general and executive director;
(3) Preparing for the convening of the National Congress of Members;
(four) to report the work and financial situation to the member national congress;
(five) to decide on the establishment, cancellation and renaming of branches and representative offices such as offices, working committees (to assist the Council to carry out the work of the Institute) and professional committees (to carry out professional academic activities);
(six) to decide to absorb and recall members;
(seven) to decide on the selection and establishment of honorary posts and consultants;
(eight) to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of all branches;
(nine) to lead the work of the institutions of this Association;
(ten) to formulate and improve the internal management system and supervise the implementation;
(eleven) to decide on other major issues.
Article 17 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present. The Council shall meet at least once a year. Special circumstances can also be held by means of communication.
Article 18 The Standing Council shall be elected by the Council from among the directors by secret ballot (including chairman 1, secretary 1, treasurer 1, and several vice-chairmen and executive directors). The number of members of the Standing Council shall not exceed 65,438+0/3 of the number of members of the Council. When the Council is not in session, it is responsible for leading the daily work of the firm, exercising the functions and powers in paragraphs 1, 3, 5, 6, 7, 8, 9 and 10, and being responsible to the Council.
Article 19 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors are present. The Standing Council shall hold a meeting at least once every six months, and it may also be held by means of communication under special circumstances.
Article 20 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:
(a) outstanding academic achievements, decent style, has a greater impact in the business field of the association;
(2) The maximum working age of the chairman and vice-chairman (upon expiration) shall not exceed 70 years, and the maximum working age of the secretary-general (upon expiration) shall not exceed 65 years, full-time;
(3) Being healthy and enthusiastic, and being able to adhere to the normal work of the Association;
(4) Having not been subjected to criminal punishment of deprivation of political rights;
(5) Having full capacity for civil conduct.
Article 21 The term of office of the chairman, vice-chairman and secretary-general of this Association is 4 years, and the chairman may not be re-elected, and the vice-chairman and secretary-general may not be re-elected for more than two terms.
Article 22 The chairman of the board of directors is the legal representative of this Association and does not concurrently serve as the legal representative of other social organizations.
Article 23 The chairman of this Association shall exercise the following functions and powers:
(a) to convene and preside over the National Congress of Members, the Council or the Standing Council;
(two) to check the implementation of the resolutions of the National Congress Council or the Standing Council;
(3) Signing relevant important documents on behalf of this Council.
Article 24 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the Secretariat and organize the implementation of the annual work plan;
(two) to coordinate the work of the working committees, professional committees and other subordinate institutions;
(3) Nominating deputy secretaries-general and principal responsible persons of various institutions and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff in various institutions;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Twenty-fifth association funds must be used for the business scope and astronomical development as stipulated in the articles of association. Its source of funds:
(a) China Association for Science and Technology grants and government funding;
(2) donation;
(3) Income from activities or services provided within the approved business scope;
(4) membership fee;
(5) funds;
(6) interest;
(7) Other lawful income.
Article 26 The Association shall collect membership fees in accordance with relevant state regulations. The funds of the association must be used to develop the business scope and undertakings stipulated in the articles of association, and shall not be distributed among the members.
Article 27 An association shall establish a democratic financial management system and a strict financial management system under the leadership of the Council, and be equipped with accountants with professional qualifications to ensure the legality, truthfulness, accuracy and completeness of accounting information. Cashiers may not concurrently serve as accountants, who must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 28 The assets of this Association are public assets, and no unit or individual may occupy, privately divide or misappropriate them. The asset management of the association shall implement the relevant financial management system of the state and accept the supervision of the national member congress and the financial and tax departments. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 29 Before changing its legal representative, the association must accept the financial audit of the audit institution and report the audit results to the National Congress of Members. The "special fund" set up by this Association accepts the financial audit of the audit institution designated by the registration authority every year.
Chapter VI Procedures for Amending the Articles of Association
Article 30 Any amendment to the articles of association shall be proposed jointly by 10 or above members or on the recommendation of China Association for Science and Technology, and submitted to the National Congress for deliberation after being voted by the Council.
Article 31 The revised Articles of Association shall be submitted to the competent business unit for review within 15 days after it is adopted by the National Congress of Members, and shall take effect after it is approved by the registration authority of the Association.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 32 If an association has completed its purpose or dissolved itself or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 33 The motion to terminate this Association must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Thirty-fourth before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 35 This Association shall be terminated after the cancellation of registration by the Association Registration Authority.
Article 36 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the registration and administration organ of the association in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 37 The Articles of Association (revised) was discussed and adopted at the 12th National Congress on 20 10.
Article 38 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 39 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
