Article 2 This Association is a national academic organization under the leadership of the China Communist Party. It is an academic, popular and non-profit legal person social organization voluntarily composed of scientific and technical workers engaged in anatomy (including anthropology, cytology, embryology, histology, neuroanatomy, human anatomy, sectional anatomy, comparative anatomy, clinical anatomy and regenerative medicine). Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:

Editing, publishing and distributing anatomical science and technology books and related audio-visual products;

(four) approved by the relevant competent departments, recommend anatomical science and technology talents, commend and reward members and scientific and technological workers or groups who have made outstanding achievements in anatomical science and technology activities;

Chapter III Members
Article 7 Associations are divided into individual members, group members and foreign members. Individual members are the main body of this association.
Article 8 anyone who supports the articles of association of this association; Have the will to join this association; Anyone who has a certain level in this group of disciplines can apply for membership voluntarily. The details are as follows:
Individual members: (1) scientific and technical personnel with the titles of assistant researcher, lecturer, attending physician and technician in charge; (2) Scientific and technical personnel who have obtained a master's degree or above; ⑶ Managers who enthusiastically and actively support the work of the Institute and have corresponding professional knowledge; (four) China science and technology personnel who have settled abroad, Hong Kong and Macao and meet the above conditions may apply for membership.
Group member: any enterprise or institution such as scientific research, teaching, production and design. And related academic social organizations established according to law, with a certain number of scientific and technological personnel, willing to participate in the relevant activities of the society and support the work of the society, can apply for group membership.
Foreign members: foreign scientific and technological workers who have high academic achievements, are friendly to China and are willing to participate in academic activities, exchanges and cooperation.
Article 9 Membership procedures:
One-member: I shall submit a written application, be introduced by two members, be recommended by the provincial society where the member is located, or be recommended by the secondary institutions (professional committees and working committees) of our association, and be approved by the Standing Council of the Association before becoming a member of our association.
2. Group membership: a written application of the organization must be submitted first, introduced by two directors of the association and approved by the standing Council of the association.
3. Foreign members: You need to submit a written application, which is introduced by two directors or executive directors, approved by the executive board, and reported to China Association for Science and Technology for approval.
Article 10 Rights enjoyed by members:

Article 1 1 Obligations of members:

Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay his membership fee or participate in group activities for two consecutive years (if he fails to pay his membership fee or participate in activities for one year, the Association will remind him), he will be automatically dismissed.
Thirteenth members who violate the criminal law or seriously violate the articles of association of this association shall be removed after discussion and approval by the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the National Congress of its members. Its functions and powers are:
To formulate the working principles and tasks of the Association;
Review the work report of the Council and the financial report of the Institute;
(3) Formulating and amending the articles of association;
4. Election and removal of directors;
5. Organize academic activities and adopt suggestions;
6. Decided to terminate;
7. Decide on other important matters.
Article 15 The National Congress of Members shall be convened only when more than two thirds of the members' representatives are present, and its resolutions shall take effect only when more than half of the members' representatives are present.
Article 16 The term of office of the National Congress of Members is four years. Special circumstances can be held in advance or postponed. However, the longest extension period shall not exceed 1 year, and shall be approved by the competent business department and the registration authority.
Article 17 The Council shall be elected by the National Congress of Members through democratic consultation and secret ballot. Candidates for the Council should be scientific and technological workers with academic achievements, decent style of study, and enthusiastic about the work of the society, as well as management workers who are enthusiastic about and support the work of the society and engage in the organization of related disciplines. The composition of the board of directors should reflect the combination of the old and the young, and directors should conscientiously perform their duties. The Committee is the executive body of the National Assembly. It presides over the daily work of the Council when the National Congress is not in session and is responsible to the National Congress.
Article 18 The functions and powers of the Council are:
To implement the resolutions of the National Congress of Members;
To elect and recall the chairman, vice chairman, secretary general and executive director;

5. Decide to establish offices, branches, agencies and entities;

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.
Article 21 The Council shall establish a standing council. The Standing Council is elected by the board of directors. When the board of directors is not in session, it exercises the functions and powers in paragraphs 1, 3, 5, 6, 7 and 8 of Article 18 and is responsible to the board of directors (the number of executive directors shall not exceed 65,438+0.3 of the number of directors).
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council meets twice a year; Special circumstances can also be held in the form of communication.
Article 24 The chairman, vice chairman, secretary general and executive director of the Council must meet the following conditions:
Directors of the Association;
Adhere to the party's line, principles and policies, have strong organizational and management skills, good political quality, and be decent.
(3) Have great influence in the business field of the Association, be enthusiastic about learning and work, and be full of practical spirit;
The maximum working age of the chairman and vice-chairman shall not exceed 70 years, and the maximum working age of the secretary-general shall not exceed 65 years. The secretary-general is full-time. If the Secretary-General is part-time, then learn to set up a full-time Deputy Secretary-General.

Article 25 If the chairman, vice-chairman and secretary-general of the Association are over the maximum working age and really need to succeed, they must be discussed and approved by the Council and reported to the competent business department for examination and approval by the registration authority of the Association before taking up their posts.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association shall not exceed two terms (each term is four years). If it is necessary to extend the term of office under special circumstances, it shall be approved by more than two-thirds of the members of the National Congress of Members, and reported to the competent business department for review. Only after it is approved by the registration administration organ of the Association can it take office.
Article 27 The president of this Association is the legal representative of this Association. If the chairman needs to authorize the vice-chairman or the secretary-general to act as the legal representative due to special circumstances, he shall be approved by the Council or the Standing Council, reported to the competent business unit for review, and approved by the association registration authority before taking office. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The chairman of this Association shall exercise the following functions and powers:
1. Convene and preside over the National Congress of Members, the Council or the Standing Council;
2. Check the implementation of resolutions of national congresses, councils or standing councils of members;
Sign relevant important documents on behalf of the association.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
Preside over the daily work of the office, submit the annual work plan of the Council and organize its implementation.
Coordinate the work of branches, agencies and entities.
3. Nominate the Deputy Secretary-General and appoint the principal responsible persons of offices, branches and organs.
Handle other daily affairs of the association.
Chapter V Principles of Asset Management and Use
Article 30 The sources of funds of this Association are:
1. Appropriation by the government or higher authorities;
Funding and donations from domestic and foreign units, organizations and individuals;
Income from activities or services provided within the approved business scope;
Membership fee;
5. Social funds and interest;
Other lawful income.
Article 31 the association collects membership fees in accordance with the relevant provisions of the state.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information, report its accounts to the financial supervisor regularly, and make the accounts public.
Article 34 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accounting must be done. When accounting personnel transfer their jobs, they must go through the handover procedures with the recipients.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions. And publish relevant information to the public in an appropriate way.
Article 36 Before changing its members or legal representatives, an association must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The full-time staff of the offices of the Association belong to the Chinese Medical Association and shall be managed according to the nature of its establishment. Learn to train full-time office staff in a planned and organized way, and constantly improve the quality and efficiency of full-time office staff. Learn to care about the political and living conditions of office full-time staff. The evaluation of their technical titles is managed by the Chinese Medical Association and enjoys the same rights as the employees of the unit.
Chapter VI Procedures for Amending the Articles of Association
Article 39 Any amendment to the articles of association of this Association shall be effective only after it is approved by the Council (or the Standing Council) and submitted to the National Congress for deliberation and approval.
Article 40 The revised articles of association of this Association shall be submitted to the competent business department for examination and approval within 15 days after being adopted by the National Congress of Members, and shall come into effect after being approved by the registration authority of this Association.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If the association has completed its purpose or is dissolved or needs to be revoked due to division or merger, the Council shall propose a termination motion.
Article 42 The motion to terminate this Association shall be voted by the national congress of the member and approved by the competent business authority.
Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.
Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 46 The articles of association of this Association were discussed and adopted by the 11th National Congress on October 28th, 2006.
Article 47 The right to interpret the Articles of Association belongs to the Standing Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
