Articles of Association of Shanghai Banking Association
(1October 13 1 1 adopted at the 20th general meeting of the Association).

Chapter I General Provisions

Article 1 The Chinese name of this Association is Shanghai Banking Association (hereinafter referred to as "Association"); The English name is ShanghaiBanking Association, abbreviated as SBA.

Article 2 This trade association shall be established in accordance with the spirit of the Regulations on the Administration of Registration of Social Organizations and the Provisions of Shanghai Municipality on Promoting the Development of Trade Associations. It is a cross-departmental and cross-ownership non-profit industrial social group legal person voluntarily formed by the banking financial institutions in this Municipality, which implements industrial service and self-discipline management.

Article 3 The purpose of a trade association is to abide by the Constitution, laws, regulations, rules and relevant normative documents as well as economic and financial policies, strengthen trade self-discipline, safeguard members' rights and interests, promote trade coordination, strengthen member services, realize the common interests of members, ensure the healthy development of Shanghai's banking industry, and strive to become a professional, professional and international high-level trade organization that matches Shanghai's banking status and the construction of Shanghai's international financial center.

Article 4 Trade unions and their activities shall follow the principles of voluntariness, equality and democratic centralism.

Article 5 The competent business unit of this Association is Shanghai Banking Regulatory Bureau, and the registration authority is Shanghai Social Organization Administration Bureau. Trade associations accept the business guidance, supervision and management of the competent business units and registration authorities.

Article 6 After joining the China Banking Association as a group member, the association shall accept the business guidance and coordination of the China Banking Association.

Article 7 The domicile and activity area of the trade association: Shanghai.

Chapter II Business Scope, Responsibilities and Principles of Activities

Article 8 The business scope of trade associations includes: industry coordination, business negotiation, personnel training, information exchange, opinions reflection, and safeguarding the rights and interests of members (where administrative licensing is involved, business shall be conducted with a license).

Article 9 Trade unions shall perform their duties of self-discipline, rights protection, coordination and service.

Article 10 Trade associations shall perform the following self-discipline duties:

(1) Organizing members to sign a self-discipline convention and its detailed rules for implementation, establishing an inspection and disclosure system for the implementation of the self-discipline convention, accepting complaints from members and the public, taking self-discipline and disciplinary measures, urging members to operate in compliance with laws and regulations, and jointly safeguarding a fair and competitive market environment;

(two) according to the articles of association or rules and regulations, organize the formulation of industry standards and business norms, promote the implementation and supervise the implementation of members, and improve the service level of the industry;

(3) Establish and improve the banking credit system and the credit information system of banking institutions and employees, strengthen credit supervision, and help promote the construction of the banking credit system;

(4) Formulating the code of ethics and conduct for employees, conducting self-discipline management for bank employees, organizing qualification examinations and related training for bank employees, and improving the quality of employees;

(five) members who violate the articles of association, self-discipline conventions, management systems, etc. , thus damaging the interests of the industry, according to the relevant provisions of the implementation of self-discipline punishment, and promptly inform the competent business unit;

(6) Report to the competent business unit in a timely manner the complaints of banking financial institutions and employees suspected of violating laws and regulations and the behaviors found in the industry suspected of violating laws and regulations, and do a good job in the investigation and handling of complaints recognized by Shanghai Banking Regulatory Bureau.

Article 11 Trade associations shall perform the following duties of safeguarding rights:

(1) Organizing members to formulate a convention on rights protection, taking measures such as conducting regional credit environment assessment, publishing the list of honest and trustworthy customers or customers who have breached the contract, and implementing joint industry sanctions to stop all kinds of infringements and safeguard the legitimate rights and interests of the banking industry.

(2) Participating in the decision-making demonstration on the reform and development of the banking industry and the rights and interests of the industry organized by the Shanghai Banking Regulatory Bureau and other departments, and putting forward suggestions on relevant policies, legislation and industry planning of the banking industry;

(3) Report the problems that hinder the reform and development of the banking industry to the Shanghai Municipal Government and the Shanghai Banking Regulatory Bureau, establish a communication mechanism with relevant departments, and strive for an external environment conducive to the healthy development of the banking industry;

(4) Organizing members to carry out industry rights protection surveys, giving timely risk warnings to members, and promoting members to strengthen creditor's rights maintenance and risk management.

Twelfth trade associations shall perform the following coordination duties:

(1) Accepting the entrustment of members, coordinating the relationship with the Shanghai Municipal Government and its relevant departments, and assisting the Shanghai Banking Regulatory Bureau and other departments to implement relevant policies and measures;

(two) to coordinate the relationship between members, establish and improve the internal dispute mediation mechanism, solve all kinds of contradictions and disputes fairly and reasonably, and create a good industry environment;

(three) to coordinate the relationship between members and the public, strengthen communication between members and the public, and safeguard the legitimate rights and interests of members and customers;

(four) to strengthen communication and contact with the news media, formulate emergency news handling mechanism, timely and effectively guide public opinion, and safeguard the reputation of the banking industry.

Thirteenth trade associations shall perform the following service duties:

(1) Establish an information communication mechanism among members, organize business, technology and information exchange and cooperation among members, and provide information services for members;

(2) Organizing exchanges and cooperation with domestic and foreign banking financial institutions and banking associations;

(three) to strengthen communication and coordination with the securities industry, insurance industry and other industry associations;

(4) Give full play to the overall publicity function of the industry, coordinate and organize members to jointly carry out publicity and consultation activities on new businesses and policies, vigorously popularize financial knowledge, and raise the public's financial awareness;

(5) Organize business competitions, enhance understanding and friendship among members, and cultivate a healthy and progressive industry culture.

Fourteenth principles of guild activities:

(a) the guild shall carry out activities in accordance with the approved articles of association, abide by relevant laws, regulations, rules and policies, and abide by social ethics;

(two) the activities of trade associations are honest and trustworthy, fair and just, and do not resort to deceit, and do not harm the interests of the state, other units and individuals;

(3) Guilds shall not engage in business activities in the name of guilds. Activities carried out in the name of business units do not compete with enterprises in the industry;

(4) When carrying out activities, the guild shall follow the principles of "democratic centralism" and "running the guild independently", so as to work independently, choose their own jobs and be responsible for their own profits and losses.

Chapter III Members

Fifteenth members of trade associations are all unit members, including full members and associate members.

Article 16 An entity applying to become a full member of a trade association must meet the following conditions:

(a) have the will to join the guild;

(two) to recognize the articles of association, enjoy the rights of full members of the association, and fulfill the obligations of full members of the association;

(3) A banking financial institution established within the administrative area of Shanghai and holding a financial license issued by the banking supervision institution and a Business License for Enterprise as a Legal Person or a Business License issued by the administrative department for industry and commerce.

Article 17 An entity applying to become a member of a trade association must meet the following conditions:

(a) have the will to join the guild;

(two) to recognize the articles of association, enjoy the rights of associate members of the association, and fulfill the obligations of associate members of the association;

(3) Holding the approval documents of the banking supervision institution and the administrative department for industry and commerce.

A representative office of a Chinese-foreign banking financial institution in Shanghai with the registration certificate of the resident representative office of a foreign (regional) enterprise or the business license issued by the department.

Article 18 Membership procedures:

(a) submit a written application, the written application materials include:

1. An application for membership, stating the voluntary application to join the guild, the articles of association of the recognized guild, the name and legal residence of the applicant, etc. ;

2. The financial license or approval letter issued by the banking supervision institution, and the copy of the Business License for Enterprise as a Legal Person, Registration Certificate of Resident Representative Office of Foreign (Regional) Enterprises or Business License issued by the administrative department for industry and commerce;

3. Name and resume of the legal representative (principal responsible person) or general representative (chief representative).

(2) It was reviewed and approved by the Council.

(three) the trade association shall serve a written notice to the new members.

The list of members and their changes shall be reported to Shanghai Banking Regulatory Bureau and Shanghai Social Organization Administration for the record.

Article 19 Members of trade associations shall enjoy the following rights:

(1) the right of deliberation;

(two) have the right to get the service of the guild first;

(three) the right to participate in the activities of the guild;

(four) have the right to criticize, suggest and supervise the work of trade associations;

(five) have the right to ask trade associations to keep business secrets for them;

(six) have the right to state opinions and suggestions on economic and financial work to trade associations;

(seven) the right to freely withdraw from the meeting;

(eight) other rights added by the resolution of the general meeting of members.

In addition to the above rights, full members also enjoy the right to vote and stand for election.

Twentieth trade association members shall perform the following obligations:

(a) abide by the articles of association and rules formulated by the trade association, and implement the resolutions adopted by the trade association;

(two) to safeguard the legitimate rights and interests and reputation of the association;

(three) to undertake or assist in the completion of various tasks assigned by the guild;

(four) according to the provisions and standards to pay membership fees;

(five) truthfully report the situation to the trade association, accept the consultation and investigation of the trade association, and provide the relevant information reasonably required by the trade association according to the articles of association or the rules formulated in accordance with the articles of association;

(six) other obligations increased by the resolution of the general meeting of members.

Twenty-first members who are hindered from exercising their rights as stipulated in the articles of association may report to the competent unit of the association.

Article 22 A trade association shall compile a unified membership list. When the items filled in the member list change, the member unit shall notify the Association in writing within fifteen days to record the corresponding changes.

Article 23 If a member fails to perform the membership obligations stipulated in the articles of association or violates the relevant standards formulated by the trade association according to the articles of association, and fails to perform the obligations according to the provisions after being advised, one or more of the following penalties shall be given, and the trade association shall report the punishment to the competent business unit for the record in time:

(1) verbal warning;

(2) informed criticism;

(3) peer condemnation;

(4) Suspension of membership for one to six months;

(5) cancel membership.

Except for the penalties mentioned in items (4) and (5) above, which are submitted to the general meeting for deliberation and approval, other penalties are directly made by the resolution of the Council. Members who have been punished by items (4) and (5) may apply for a hearing before consideration by the general meeting of members.

Article 24 If a member disagrees with the punishment, he may lodge a complaint with the Council or the general meeting, and the Council or the general meeting shall make a ruling on the complaint, and the ruling of the general meeting shall be final.

Article 25 Membership shall be terminated under any of the following circumstances:

(1) If a member wants to quit the guild, he shall submit a written statement to the guild and pay all the fees payable, and the guild will give a notice, and his membership will be terminated from the date of the notice;

(2) If the financial license, the approval letter of the banking supervision institution or the business license of an enterprise as a legal person, the registration certificate of the resident representative office of a foreign (regional) enterprise, and the business license issued by the administrative department for industry and commerce are revoked, its membership will be automatically terminated from the date when the above-mentioned license is revoked, withdrawn or revoked;

(3) If a member seriously violates the Articles of Association and his membership is cancelled by a resolution of the general meeting, his membership shall be terminated from the date when the resolution of the general meeting is made;

(4) If a member fails to participate in any activity organized by the guild or fails to pay the membership fee within one year, it will be deemed as automatic withdrawal and membership will be automatically terminated.

Chapter IV Organizational Structure

Section 1 General Meeting of Members

Article 26 The general meeting of members is the highest authority of the trade association and consists of all full members and associate members.

When a member attends a general meeting, the representative must be a regular employee of the member unit. Each full member may appoint two representatives with one vote; Each associate member may designate a representative to attend the general meeting.

Article 27 The general meeting of members shall exercise the following functions and powers:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing governing units;

(3) Electing and dismissing supervisors;

(4) Deliberating non-member directors;

(five) to consider the work report of the Council;

(6) To review the work reports of supervisors;

(seven) to review the financial report of the association;

(eight) to determine the tasks of trade associations;

(nine) the decision to suspend or cancel the membership;

(10) To decide on the establishment, liquidation or termination of trade associations;

(eleven) to determine the standards for the admission fees and annual fees payable by full members and associate members;

(twelve) to discuss and decide on other major issues submitted by the Council.

Article 28 The general meeting of members shall be held once a year. The congress is held every two years. In any of the following circumstances, an extraordinary general meeting of shareholders may be convened:

(1) proposed by the board of directors;

(two) proposed by more than one quarter of the full members;

(3) When all supervisors propose.

Article 29 The general meeting of members shall be presided over by the president or vice president. If the chairman and vice-chairman are unable to attend for some reason, the director designated by the chairman shall preside over the meeting.

Article 30 A general meeting of members shall be held only when more than two thirds of the members are present.

Resolutions made by the general meeting of members shall be adopted by more than two thirds of all members present. The general meeting of members shall make resolutions on the following major issues:

(1) Amending the Articles of Association.

(2) punishing members;

(3) liquidation or termination of trade associations;

(4) Other important matters submitted by the Council.

The above matters shall be reported to the competent business unit for the record.

Thirty-first trade associations implement the president responsibility system, and the president is the legal representative of the association.

Section 2 Council

Article 32 The Council is the executive body of the general meeting of members, leading the trade associations to carry out their daily work when the general meeting is not in session, and being responsible for the general meeting.

Article 33 The board of directors consists of member directors and non-member directors.

The member directors are composed of 28 directors, including 8 Chinese directors/kloc-0 and 0 foreign directors/kloc-0. China Industrial and Commercial Bank Shanghai Branch, China Agricultural Bank Shanghai Branch, China Bank Shanghai Branch, China Construction Bank Shanghai Branch, Bank of Communications Shanghai Branch and Shanghai Pudong Development Bank are ex officio directors.

According to the actual situation of member units before the general election, the guild determines the quota allocation of each member unit among the other 22 governing units. The governing unit is elected by the General Assembly by secret ballot. Member units are elected in turn according to the number of votes in the allocated places.

Non-member directors are recommended by Shanghai Banking Regulatory Bureau and approved by the general meeting of members.

Article 34 The board of directors shall have a chairman unit, which shall be China Bank Shanghai Branch, China Industrial and Commercial Bank Shanghai Branch, China Construction Bank Shanghai Branch, Bank of Communications Shanghai Branch, China Agricultural Bank Shanghai Branch and Shanghai Pudong Development Bank in turn.

The Council consists of four vice-president units, which are composed of the next rotating president unit, a Chinese-funded vice-president unit and two foreign-funded vice-president units. Except for the next rotating president unit, other vice-president units are elected by the Council and can be re-elected for one term.

Article 35 The term of office of the Council is two years, and the directors may be re-elected, and the term of office may not be extended for more than one year.

Article 36 The Council shall perform the following duties:

(1) Convening a general meeting of members;

(two) to implement the resolutions of the general assembly;

(three) to propose a draft amendment to the articles of association and submit it to the general assembly for consideration;

(4) To report the work of the Council to the General Assembly;

(five) to report the financial situation of the association to the general meeting of members;

(six) to elect and recall the chairman and vice chairman;

(seven) to decide on the establishment, alteration and cancellation of the internal organs of the trade association, to decide on the appointment and removal of the main persons in charge of the internal organs of the trade association, and to decide on the appointment and removal of the work consultants of the trade association;

(eight) to examine and approve the important rules and regulations of trade associations;

(9) Deciding to admit new members, and taking other sanctions against members except suspension or cancellation of membership;

(10) Propose the amount of admission fee and annual fee that full members and associate members should pay.

Standard suggestions;

(eleven) to decide on other major issues.

Article 37 Council meetings include regular meetings and temporary meetings.

Regular meetings are held once every quarter.

An interim meeting may be convened upon the proposal of the president unit, the vice president unit or more than half of the directors.

Thirty-eighth in addition to the general meeting form, under special circumstances, with the consent of the president, the Council meeting can be held by means of communication.

Article 39 When a governing unit attends a meeting of the Council, its representative shall be the legal representative (principal responsible person) of the governing unit. When the legal representative (principal responsible person) of the governing unit is unable to attend the meeting of the Council for some reason, the governing unit may send other responsible persons as representatives. Representatives shall be authorized in writing to attend the meeting and exercise voting rights on behalf of the governing unit at the meeting. If the meeting is postponed due to the representative's failure to exercise the voting right, the guild may give the governing unit one or more punishments as stipulated in Article 23 of the Articles of Association according to the seriousness of the case.

Article 40 If the representative of the governing unit leaves his post during the term of office of the director of the trade association, the governing unit shall appoint a new legal representative (principal responsible person) as the representative and notify the trade association by letter.

Article 41 A meeting of the board of directors shall be held only when more than four fifths of the directors are present. Resolutions made by the board of directors must be approved by more than two-thirds of the directors present at the meeting.

Article 42 The board of directors shall have a president, who shall be the legal representative (principal responsible person) of the unit to which the president belongs. The President shall perform the following duties:

(a) to preside over the general meeting of members and the meeting of the Council;

(two) to check the implementation of the resolutions of the general assembly and the Council meeting;

(3) Signing resolutions of trade associations and relevant important documents;

(4) Organizing and leading the major work of trade associations.

The board of directors has a full-time vice president, who is recommended by the Shanghai Banking Regulatory Bureau or recruited from the society and approved by the general meeting of members. The full-time vice president shall perform the following duties:

(a) to assist the president to preside over the daily work of the association;

(two) entrusted by the president, signed the relevant resolutions and documents of the association;

(3) To lead the work of the secretariat of the Association;

(four) according to the actual work of the secretariat, put forward suggestions for replacing the secretary to the Council.

The appointment and removal of long or deputy secretary-general;

(five) according to the actual work of the professional committee, put forward suggestions to the special committee.

Elect the director or deputy director of the special committee.

The board of directors has four vice presidents, with the legal representative (principal responsible person) of the vice president unit as the director.

The vice president assists the dean in his work.

When the president and vice-president no longer serve as the legal representative (principal responsible person) of the unit, they shall submit a written report on the change of the positions of the president and vice-president to the association within ten days from the date of leaving office.

Section 3 Supervisors

Article 43 The Association shall have two supervisory units, including one in China and one in foreign countries. The supervision unit shall perform its supervisory duties on the trade associations.

Article 44 The supervisors shall be elected by the general meeting of members by secret ballot, according to the number of Chinese and foreign supervisors specified in Article 43 of the Articles of Association, and in the order of the number of votes. A director unit may not concurrently serve as a supervisor unit.

Article 45 The term of office of the supervisor is the same as that of the board of directors. The unit of supervisors may be re-elected.

Forty-sixth supervision units shall perform the following duties:

(a) to supervise the financial budget and final accounts of the Association;

(two) to supervise the activities of the association;

(3) Supervising members to fulfill their obligations as members;

(four) to accept the problems reflected by members in the exercise of their rights;

(5) Financial review of the guild;

(6) Report to the General Assembly.

When the object of investigation involves the competent unit, the competent personnel shall withdraw.

Article 47 The representative of a supervision unit shall be the legal representative (principal responsible person) of the supervision unit. When the representative of the competent unit leaves office during the term of office of the competent unit of the association, the competent unit shall appoint a new legal representative (principal responsible person) as the representative and notify the association.

Section IV Secretariat

Article 48 The secretariat is the daily office of the Association and assists the Council in handling the daily affairs of the Association. The Secretariat is equipped with capable personnel through the appointment of Shanghai Banking Regulatory Bureau, the stationing of member units and social recruitment to establish a pragmatic, efficient, professional and enterprising work team. The secretariat can set up several departments according to the needs of the work.

The Secretariat shall perform the following duties:

(a) to organize the implementation of the work plan of the trade association;

(two) responsible for the daily financial revenue and expenditure and accounting of the guild;

(three) the preparation of guild funds plan and financial budget report;

(four) to assist the Council in handling other daily affairs of the Association.

Article 49 The Secretariat shall have a full-time Secretary-General. The Secretary-General shall be recommended by the president's unit, reviewed and approved by the Council, and appointed by the Council after being reviewed by the competent business unit, and may be re-elected.

The Secretary-General shall perform the following duties:

(a) under the leadership of the full-time vice president, presiding over the daily work of the secretariat and organizing the implementation of the annual work plan;

(2) Coordinating the work of various departments within the Secretariat;

(3) Nominating the principal responsible persons of various departments of the Secretariat, and reporting after being audited by the full-time vice president.

The president's decision;

(4) Propose the appointment or dismissal list of the staff of the Secretariat and report it to the full-time vice president for decision.

Settings;

(five) to handle other daily affairs of the secretariat.

According to the needs of the work, the Secretariat has several full-time Deputy Secretaries-General. Deputy Secretary-General is recommended by Shanghai Banking Regulatory Bureau, full-time vice president and vice president unit or recruited from the society. After deliberation and approval by the Board of Directors and review by the competent business unit, the Deputy Secretary-General shall be appointed by the Board of Directors and may be re-elected. The Deputy Secretary-General assists the Secretary-General in his work.

Article 50 The Secretary-General and Deputy Secretaries-General shall meet the following conditions:

(a) in accordance with the provisions of the civil affairs department on the qualification of the main person in charge of the organization;

(2) It has great influence and high reputation in Shanghai banking industry;

(three) engaged in financial work for more than six years or other economic work for more than nine years, and in

Relevant units of financial institutions have held relevant leadership positions;

(four) love the work of the guild;

(five) the age is not more than sixty-five years old in principle;

(six) the secretariat has a full-time secretary general and deputy secretary general;

(seven) other conditions required by the Council.

Fifty-first full-time staff stationed by member units shall enjoy legitimate rights and interests in the appointed units according to law. The secretariat of the trade association shall assess the positions of the full-time staff stationed by the member units, and the appointing unit shall take the performance of the full-time staff in the secretariat of the trade association as an important reference when arranging the positions and salaries of the dispatched personnel.

Section 5 Professional Organizations and Consultants

Article 52 A trade association may set up a number of professional committees according to the needs of development. The professional committee is the internal organization of the Association, which implements the articles of association and accepts the leadership of the Council of the Association. Unified name: ×× Professional Committee.

Article 53 Each professional committee shall have one chairman, several vice-chairmen and several members. The director and deputy director units are recommended by professional committees, reviewed and approved by the Council, and appointed by the Council, and may be re-elected.

The director and deputy director of the professional committee shall actively send full-time staff to the secretariat to assist the professional committee in its work.

Article 54 A professional committee may, as required, set up several professional groups to work independently under the leadership of the professional committee. According to the needs, professional groups can also be set up separately.

Fifty-fifth professional committees should play an effective role in formulating relevant business norms and conventions, information communication, business coordination, situation investigation, training organization, and safeguarding the rights and interests of members. The annual work plan and financial budget of each professional committee shall be submitted to the Council for deliberation and approval before implementation.

Article 56 Trade associations may, according to the needs of their work, set up professional deliberative bodies such as joint meetings to manage and carry out their work with reference to the relevant provisions of professional committees.

Article 57 The Council may, according to the needs of the work, employ relevant units or individuals as consultants to assist the work of the Association.

Chapter V Asset Management and Use

Article 58 The sources of funds for trade associations are:

(1) membership fee, including membership fee and annual fee. Membership dues are paid in one lump sum when full members and associate members join the club, and the annual fee is paid annually;

(2) Income from providing services or undertaking matters entrusted by relevant units within the scope of duties of approved trade associations;

(3) Donations and subsidies;

(4) Interest income;

(5) Other lawful income.

Fifty-ninth guild funds should be used to develop guild undertakings within the scope of duties stipulated in the articles of association, and should not be distributed among members. Guild funds are used for the following expenses:

(1) Fixed assets and management expenses required by the Association;

(2) Expenditure on activities or services organized by trade associations;

(3) Staff salaries and other expenses of the secretariat of the trade association;

(four) guild work consultant fees;

(5) Other expenses related to guild activities.

Article 60 Trade associations shall establish strict financial management systems to ensure that accounting information is legal, true, accurate and complete.

Article 61 A trade association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. When an accountant transfers his post or leaves his post, he must go through the handover procedures.

Article 62 The asset management of trade associations shall implement the financial management system stipulated by the state and accept the supervision of the general meeting of members.

Article 63 A financial audit shall be conducted for the change of membership, legal representative and liquidation of a trade association, and the audit results shall be submitted to the competent business unit and the registration authority.

Article 64 The lawful property of a trade union is protected by state laws, and no organization or individual may occupy, privately divide or misappropriate it.

Chapter VI Revision of Articles of Association

Article 65 The amendment of the Articles of Association shall be reviewed and approved by the Council and submitted to the general meeting of members for deliberation.

Article 66 The revised articles of association of a trade association shall be reviewed and adopted by the general meeting within 15 days, and shall come into effect after being reviewed and agreed by the competent business unit within 30 days and reported to the registration administration authority for approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 67 Where a trade association is dissolved by itself, the board of directors shall propose a termination motion, which shall be examined and approved by the general meeting of members and submitted to the competent business unit for examination and approval.

Article 68 Before the cancellation of a trade association, a liquidation working group shall be established under the guidance of the competent business unit to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 69 A trade association shall be terminated after its registration is cancelled by the registration authority.

Article 70 Under the supervision of the Shanghai Banking Regulatory Bureau and the Shanghai Municipal Administration of Social Organizations, the remaining property after the termination of the trade association shall be used for the development of the business related to the purpose of the trade association in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 71 The Articles of Association was approved by the general meeting of all members of the Association on October 30th, 20 13/KLOC-0.

Article 72 The term "above" mentioned in the Articles of Association includes this number.

Article 73 The Council of Trade Association shall be responsible for the interpretation of these Articles of Association. Matters not covered in the Articles of Association and the specific system of the Association shall be stipulated separately by the Council of the Association.

Article 74 The Articles of Association shall come into force as of the date of examination and approval by the competent business unit and approval by the registration authority.
