Article 1 These Provisions are formulated in accordance with the relevant laws and regulations of People's Republic of China (PRC) and the Regulations on the Administration of Tianjin Economic and Technological Development Zone. Article 4 To apply for registration, an enterprise in a development zone shall submit the following documents:

An application for enterprise registration jointly signed by the chairman, vice-chairman or general manager and deputy general manager of the enterprise;

Enterprise approval certificate issued by the relevant departments of our government;

Chinese and foreign copies of the agreements, contracts and articles of association signed by all parties to the enterprise investment and the list of members of the board of directors;

A copy of the registration certificate issued by the relevant authorities in the country or region where the enterprise investor is located;

A capital credit certificate issued by a financial institution that has business dealings with all investors of the enterprise. Article 5 When applying for registration, an enterprise in the Development Zone shall fill in the registration form in triplicate in Chinese and foreign languages. The main items to be registered include: enterprise name, address, production and business scope, mode of production and operation, registered capital and shares of all parties to the joint venture, members of the board of directors, general manager, deputy general manager or factory director, deputy factory director, organ, document number and date of approval document, total number of employees and number of foreign employees. Article 6 Enterprises from foreign countries, Hong Kong, Macao and other regions shall submit the following documents when setting up resident representative offices or sending resident representatives to apply for registration in the Development Zone:

An application signed by the chairman or general manager of the enterprise, which mainly includes: the name, business scope and resident period of the resident representative office and its responsible person or resident representative;

The approval documents of the relevant departments of China or the Administrative Committee of the Development Zone;

Resume and power of attorney of the resident representative appointed by the staff of the resident representative office or enterprise;

A copy of the registration certificate issued by the relevant authorities in the country or region where the enterprise is located;

A capital credit certificate issued by a financial institution that has business dealings with the enterprise.

When applying for the establishment of a resident representative office or sending a resident representative office, the financial and insurance industries shall submit the assets and liabilities, annual profit and loss report, articles of association and the list of board members of the head office of the enterprise verified by certified public accountants, in addition to the documents specified in the preceding paragraph. Article 7 If the documents submitted by the administrative department for industry and commerce for the application for registration of enterprises in the Development Zone and the establishment of resident representative offices or resident representatives of enterprises in foreign countries, Hong Kong, Macao and other regions meet these provisions after examination, they shall be allowed to register, and the registration fee shall be charged according to the provisions, and the business license or registration certificate and representative certificate shall be issued. Article 8 Since the date of issuance of the registration certificate, an enterprise or a resident representative office has been established, and the resident representative can go to his post, and his legitimate production and business activities are protected by the laws and regulations of People's Republic of China (PRC). Article 9 The resident representative offices or representatives of enterprises in foreign countries, Hong Kong, Macao and other regions shall, with the registration certificate or representative certificate issued by the administrative department for industry and commerce, handle tax registration, bank account opening and obtain residence permit with the taxation, banking and public security departments of the Development Zone. Article 10 The business licenses of Chinese-foreign equity joint ventures and Chinese-foreign contractual joint ventures shall be valid for the business term stipulated in the enterprise contract.

The business license of an independent enterprise operated by a merchant is valid for the approved business term of the enterprise.

The resident representative office registration certificate or the resident representative office certificate shall be renewed once a year. Article 11 An enterprise in a development zone that moves, changes production, increases or decreases its registered capital, extends the contract term or changes other registered items shall, within 30 days from the date of approval by the management committee of the development zone, apply to the administrative department for industry and commerce and the tax administration department of the development zone for registration of change with the approval document and the written agreement of the parties to the joint venture and cooperation. An application for registration of change signed by the chairman, vice-chairman or general manager and deputy general manager of the changed enterprise.
