Article 2 south university of science and technology of china is a public institution of higher learning established by the Shenzhen Municipal People's Government. Article 3 South University of Science and Technology has the status of an independent legal person, runs schools and manages them independently according to law, and accepts the supervision of the government and society. Article 4 South University of Science and Technology should fully implement the national education policy, take the cultivation of innovative talents as the core, serve local and national development through knowledge innovation and technological innovation, explore the establishment of a modern university system with China characteristics, and build it into an internationally renowned high-level research university. Article 5 South University of Science and Technology adheres to the university spirit of pursuing Excellence, academic freedom and scholars' self-discipline, follows the principles of governing the school by the Council, learning from each other and academic autonomy, cultivates and exerts the vitality and creativity of the school, implements the principal responsibility system under the leadership of the Party Committee, and manages the school in accordance with these Measures and the articles of association of South University of Science and Technology. Chapter II Rights and Responsibilities Article 6 South University of Science and Technology shall exercise its rights and perform its obligations according to law, and bear civil liabilities independently, and shall not be interfered by other organizations or individuals except for the reasons prescribed by laws, regulations and these Measures. Article 7 South University of Science and Technology shall manage and use the following properties according to law:

(1) Property provided by the municipal government;

(2) Legal income including tuition fees;

(3) Various grants and donations, including financial allocations;

(four) other property obtained according to law. Article 8 South University of Science and Technology shall set up internal institutions such as teaching, scientific research and administration according to actual needs and the principle of streamlining and high efficiency.

South University of Science and Technology shall set up subordinate institutions in accordance with the provisions of laws, regulations and these Measures, but the establishment of an independent legal person institution shall be approved by the municipal organization department.

South University of Science and Technology can set up consultants and consulting institutions to serve the school. Article 9 South University of Science and Technology shall determine the total number of personnel within the scope of the establishment standards determined by the municipal organization establishment department; Due to the needs of the work, it is really necessary to exceed the total number of preparation standards, and it shall be reported to the municipal organization department for approval.

South University of Science and Technology can formulate human resources management systems such as post management, personnel employment, wages and salaries, and occupational annuities. Conforming to its own characteristics.

South University of Science and Technology can employ faculty and staff according to law within the total number of staff. Tenth South University of Science and Technology should focus on cultivating innovative talents, set up and adjust disciplines and majors according to law, and carry out teaching, scientific research and social services.

South University of Science and Technology mainly implements full-time academic education. The disciplines are mainly science and engineering disciplines, with some characteristics of humanities and management disciplines, and actively develop interdisciplinary and emerging disciplines needed by national and regional development.

According to the teaching needs, South University of Science and Technology makes teaching plans, selects and compiles teaching materials, and organizes and implements teaching activities. Chapter III Governance Structure Article 14 South University of Science and Technology shall set up a board of directors, a president, a school affairs committee and an academic committee of the school, and set up necessary organizations such as academic units and administrative units as required to carry out activities in accordance with these Measures and the Articles of Association. Article 15 The Council is composed of government representatives, the president of South University of Science and Technology, the management team, faculty and other representatives, and social celebrities. The board of directors shall have a chairman and a vice-chairman, and the chairman shall be the mayor of Shenzhen or the person designated by the mayor. The director is appointed by the municipal government. Article 16 The Council is the decision-making body of South University of Science and Technology, and shall perform the following duties in accordance with these Measures and the Articles of Association:

(a) according to the provisions of the appointment or dismissal of the principal;

(two) according to the proposal of the principal, to appoint or dismiss the vice president;

(three) to examine and approve the school's articles of association or the revised draft articles of association;

(four) to examine and approve the financial budget and final accounts of the school;

(five) to examine and approve the long-term development plan, annual work plan and annual work report of the school;

(six) to review and approve the total number of school personnel and human resources management and other important systems;

(seven) to examine and approve the establishment, alteration or cancellation of academic units and administrative units;

(eight) to consider and approve other major issues related to the development of the school.

Item (3) of the preceding paragraph is reported to the Ministry of Education for approval, item (4) is reported to the municipal government for approval according to the prescribed procedures, and items (2), (5), (6) and (7) are reported to the relevant departments of the municipal government for the record. Article 17 Board meetings shall be held at least twice a year. The meeting of the board of directors shall be convened and presided over by the chairman, who may convene the meeting of the board of directors according to the needs of work or the written proposal of not less than three directors. The chairman may entrust the vice-chairman to be responsible for convening and presiding on his behalf.

The board meeting can only be held when more than two thirds of the directors are present. Resolutions made by the Council must be adopted by more than two-thirds of the people present at the meeting.
