Chapter I General Provisions Article 1 These Measures are formulated in accordance with the Education Law, the Higher Education Law and other relevant provisions in order to improve the modern university system with China characteristics, guide and standardize the construction of articles of association of institutions of higher learning, and promote the scientific development of institutions of higher learning. Article 2 These Measures shall apply to the drafting, deliberation, revision, approval and filing of the articles of association of state-sponsored institutions of higher learning. Article 3 The articles of association are the basic principles for institutions of higher learning to run schools independently according to law, implement management and perform public functions. Institutions of higher learning shall formulate internal management systems and normative documents according to the articles of association, carry out school-running and management activities, and carry out social cooperation.

Institutions of higher learning shall publish their articles of association, and accept the supervision and evaluation of the organizers, education authorities, other relevant organs, teachers, students and the public according to the articles of association. Article 4 Institutions of higher learning shall, under the guidance of Socialism with Chinese characteristics's theoretical system and on the basis of the Constitution and laws and regulations, formulate articles of association, adhere to the socialist direction of running schools, follow the laws of higher education, and promote the scientific development of institutions of higher learning; Promote reform and innovation, focus on the tasks of talent training, scientific research, serving the society and promoting cultural inheritance and innovation, improve the internal corporate governance structure according to law, and reflect and protect the successful experience and institutional achievements of school reform and innovation; Efforts should be made to improve the system and mechanism of school self-management and self-restraint, reflecting the school-running characteristics. Article 5 The organizers of institutions of higher learning and the administrative departments of education shall, in accordance with the principles of separating government from enterprise and separating management from school, define the relationship with the school through articles of association, define the direction and development principles of the school, implement the rights and obligations of the organizers, and guarantee the autonomy of the school. Article 6 The Articles of Association shall be accurate, concise, standardized, clear, specific and operable.

Articles of association can be divided into departments, chapters, sections, articles, paragraphs, items and items according to the content requirements. Chapter II Contents of Articles of Association Article 7 The articles of association shall contain the following contents in accordance with the provisions of the Higher Education Law:

(a) the registered name, abbreviation, English translation, school place and domicile of the school;

(two) the institutional nature, development orientation, training objectives and running direction of the school;

(three) the level and scale of running a school approved by the examination and approval authority;

(four) the main disciplines of the school, as well as the principles and procedures for the establishment and adjustment;

(five) the nature, purpose and requirements of different forms of education implemented by the school, such as full-time and part-time, academic education and non-academic education, distance education and Chinese-foreign cooperative education;

(six) the school's leadership system, legal representative, organizational structure, decision-making mechanism, democratic management and supervision mechanism, the composition, responsibilities and management system of internal institutions;

(seven) the source of school funds, property attributes, principles of use and management system, and the rules and methods of accepting donations;

(eight) the sponsor of the school, the way and standard of the sponsor's management or assessment of the school, the generation and appointment mechanism of the school's responsible person, and the sponsor's capital contribution and guarantee obligations;

(nine) the initiation and deliberation procedures for the revision of the articles of association, and the ownership of the right to interpret the articles of association;

(10) The reasons for the division, merger and termination of the school, school symbols such as school emblem and school song, the relationship between the school and relevant social organizations, and other matters that the school considers necessary, and the major matters that need to be stipulated in the articles of association as stipulated in these Measures. Article 8 The articles of association shall, in accordance with the provisions of the Higher Education Law, improve the exercise and supervision mechanism of school autonomy, and clarify the basic rules, decision-making procedures and supervision mechanism for the following matters:

(a) to carry out teaching activities, scientific research, technology development and social services;

(2) Setting and adjusting disciplines and majors;

(three) to formulate enrollment plans, adjust the enrollment ratio of departments, and determine the conditions, standards, methods and procedures for selecting students;

(four) to formulate school plans and organize their implementation;

(five) the establishment of teaching, scientific research and administrative departments;

(six) determine the principle of internal income distribution;

(7) Recruiting, managing and using talents;

(eight) the use and management of school property and funds;

(nine) major issues that other schools can decide independently. Article 9 The articles of association shall, in accordance with laws and other relevant provisions, improve the detailed implementation rules and opinions of the principal responsibility system under the leadership of the grass-roots committees of China production party colleges and universities, standardize the rules of procedure and decision-making procedures of the collective leadership of school party committees, and clearly support the institutional norms of the principal's independent and responsible exercise of functions and powers.

The articles of association shall specify the scope of functions and powers of the principal, who, as the legal representative and chief executive of the school, is fully responsible for teaching, scientific research and other management work; Standardize the composition, responsibilities and rules of procedure of the principal's office meeting or school affairs meeting. Article 10 The articles of association shall scientifically design the internal governance structure and organizational framework of the school according to the actual situation and development needs of the school, and define the responsibilities, authorities, management procedures and rules between the school and internal institutions, and between various management levels and systems.

The articles of association can establish and standardize the leadership system and management system of colleges (departments), other internal institutions and grass-roots organizations of teaching and research according to the actual situation of the school and the principle of promoting professors' academic research and democratic management and mobilizing the enthusiasm of grass-roots organizations.
