(1) application:

1. The applicant or entrusted agent may directly register with the registration authority where the business premises are located.

2. If the registration authority entrusts a subordinate industrial and commercial office to handle the registration of individual industrial and commercial households, it shall handle the registration at the industrial and commercial office where the business premises are located.

3. The applicant or his entrusted agent may submit an application to the registration authority at the place where the business premises are located by mail, fax, electronic data interchange or e-mail. If the application is submitted by fax, EDI or e-mail, the contact information and mailing address of the applicant or his agent shall be provided. For an application accepted by the registration authority, the applicant shall, within 5 days from the date of receiving the acceptance notice, submit the original application materials consistent with the contents of fax, electronic data exchange and e-mail.

(2) Acceptance:

1. If the application materials are complete and conform to the legal form, the registration authority shall accept it.

If the application materials are incomplete or do not conform to the statutory form, the registration authority shall inform the applicant of all the contents that need to be corrected on the spot. If the applicant submits all the corrected application materials as required, the registration authority shall accept it.

If there are errors in the application materials that can be corrected on the spot, the registration authority shall allow the applicant to correct them on the spot.

2. When accepting an application for registration, the registration authority shall not only register on the spot, but also issue a notice of acceptance to the applicant.

The registration authority shall not accept the application for registration that does not meet the acceptance conditions, and issue a notice of rejection to the applicant.

If the application matters do not belong to the registration category of individual industrial and commercial households according to law, the registration authority shall immediately decide not to accept it and explain the reasons to the applicant.

(3) Review and decide:

The registration authority shall, according to the following circumstances, make a decision on whether to approve the registration of the application:

1. If the application materials submitted by the applicant are complete and conform to the statutory form, the registration authority shall register on the spot and issue a notice of approval to the applicant.

According to the legal conditions and procedures, it is necessary to verify the substantive contents of the application materials, and the registration authority shall assign two or more staff members to verify and fill in the verification report of the application materials. The registration authority shall make a decision on whether to approve the registration within 05 days from the date of accepting the application for registration.

2. If the application is submitted by mail, fax, EDI or e-mail and accepted by the registration authority, the registration authority shall make a decision on whether to approve the registration within 05 days from the date of accepting the application for registration.

3. If the registration authority makes a decision to approve the registration, it shall issue a notice to the applicant to approve the registration of individual industrial and commercial households, and issue a business license to the applicant within 10 days.

If it is not registered, it shall issue a Notice of Non-registration of Individual Industrial and Commercial Households to the applicant.

Materials to be prepared by a sole proprietorship enterprise

(1) An application for registration (filing) of a sole proprietorship enterprise signed by the investor; (2) the identity certificate of the investor; (3) If the investor entrusts an agent, it shall submit the original power of attorney of the investor and a copy of the identity certificate or qualification certificate of the agent (original inspection); (4) Certificate of enterprise domicile; (5) Notice of pre-approval of name (if pre-approval of name has been obtained before application for establishment, it shall be submitted); (six) to engage in the business that must be reported to the relevant departments for examination and approval according to the provisions of laws and administrative regulations, the approval documents of the relevant departments shall be submitted. (2) Qualification certificates of all partners or identity certificates of natural persons;

(3) Power of attorney of all partners' designated representatives or * * * entrusted agents;

(4) A partnership agreement signed by all partners;

(5) A letter of confirmation signed by all partners on the contribution to each partner;

(six) the certificate of the main business premises;

(7) Notice of pre-approval of name (if pre-approval of name has been obtained before application for establishment, it shall be submitted);

(eight) the power of attorney signed by all partners to entrust the executive partner; If the executive partner is a legal person or other organization, it shall also submit the power of attorney and a copy of the identity certificate (original inspection) of its appointed representative;

(9) If the capital contribution is made in non-monetary form, the confirmation letter of negotiated pricing signed by all partners or the appraisal certificate issued by the statutory appraisal institution entrusted by all partners shall be submitted;

(10) Where the establishment of a partnership enterprise is subject to approval as stipulated by laws, administrative regulations or the State Council, or the business projects that are subject to approval before registration as stipulated by laws, administrative regulations or the State Council decisions, relevant approval documents shall be submitted;

(11) Where laws and administrative regulations stipulate the establishment of a special general partnership enterprise, the professional qualification certificates of the partners shall be submitted, and the corresponding certificates shall be submitted;

(12) Other documents required by the State Administration for Industry and Commerce.

Treatment process

(eleven) other documents as prescribed by laws and administrative regulations.

(eight) the company's domicile certificate;

(9) Other documents required by the State Administration for Industry and Commerce.

Where laws, administrative regulations or decisions of the State Council stipulate that the establishment of a limited liability company must be approved, approval documents shall also be submitted.

Treatment process

2. 3. If there are errors in the application documents and materials that can be corrected on the spot, the applicant is allowed to correct them on the spot, and the applicant signs or seals the correction place, indicating the date of correction; If the application documents and materials are confirmed to be complete and conform to the statutory form, it is decided to accept them.

4. If the application documents and materials are incomplete or inconsistent with the statutory form, the applicant shall be informed of all the contents that need to be corrected on the spot or within 5 days; Informed on the spot, the application documents and materials will be returned to the applicant; If it is notified within 5 days, it shall receive the application documents and materials, and issue a receipt certificate for the application documents and materials. 5. Immediately decide not to accept matters that do not fall within the scope of company registration or the jurisdiction of this organ, and inform the applicant to apply to the relevant administrative organ.

Where the company registration authority applies by letter, telegram, telex, fax, electronic data interchange, e-mail, etc., it shall make a decision on whether to accept or not within 5 days from the date of receiving the application documents and materials.

(3) Review and decide:

The company registration authority shall make a decision on whether to approve the registration of the application within the prescribed time limit:

1. If the company registration authority accepts the application submitted by the applicant, it shall make a decision to approve the registration on the spot.

2. If the application submitted by the applicant by letter is accepted, it shall make a decision to approve the registration within 15 days from the date of acceptance.

3. If the application is submitted by means of telegram, telex, fax, electronic data interchange and e-mail, the applicant shall submit the original application documents and materials that are consistent with the contents of telegram, telex, fax, electronic data interchange and e-mail and conform to the legal form within 15 days from the date of receiving the acceptance notice; If the applicant submits the original application documents and materials to the company registration authority, it shall make a decision to approve the registration on the spot; If the applicant submits the original application documents and materials by letter, it shall make a decision to approve the registration within 15 days from the date of acceptance.

4. If the company registration authority fails to receive the original application documents and materials within 60 days from the date of issuing the acceptance notice, or the original application documents and materials are inconsistent with those accepted by the company registration authority, it shall make a decision not to register.

Where the company registration authority needs to verify the application documents and materials, it shall make a decision on whether to approve the registration within 15 days from the date of acceptance.

(IV) Licensing: If the company registration authority makes a decision to approve the establishment registration of the company, it shall issue a Notice of Approval of Establishment Registration, informing the applicant to obtain the business license within 10 days from the date of the decision.

If the company registration authority decides not to register, it shall issue a notice of non-registration, explain the reasons for non-registration, and inform the applicant of the right to apply for administrative reconsideration or bring an administrative lawsuit according to law.
