Chapter I General Provisions
Article 1 The name of this Association is China Teaching Instrument and Equipment Industry Association. The English name is China educational instrument &;; Equipment Association, abbreviated as CEIEA.
Article 2 This Association is a non-profit social and economic group engaged in the management of teaching instruments and equipment industry. It is a cross-departmental and cross-ownership national trade organization voluntarily composed of enterprises and institutions (including individuals) that produce, operate, manage and research teaching instruments and equipment.
Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and national policies, abide by social ethics, represent the interests of member enterprises under the guidance of the government's economic development strategy, safeguard fair competition, maintain market order, strengthen industry self-discipline, serve the development of enterprises and industries, serve the government and society, and play a role as a bridge between business authorities and member units; Play a guiding role in industry management; Play a service role and safeguard the legitimate rights and interests of member units and public institutions.
Article 4 This Association accepts the professional guidance, supervision and management of the Ministry of Education and the Ministry of Civil Affairs of People's Republic of China (PRC).
Article 5 The domicile of this Association is in Beijing.
Chapter II Scope of Business
Article 6 The main business scope of this Association is:
(a) to carry out the investigation of the economic development of the industry, study the development and reform of the industry and the economic and social issues related to the interests of the industry, put forward opinions and suggestions on economic policies and legislation, and participate in various hearings organized by the government that affect the interests of the industry;
(two) collect, analyze and publish domestic and foreign industry information, edit and publish association publications, build association websites, promote information exchange and carry out technical consultation;
(3) Holding national exhibitions and trade fairs in this industry, jointly holding overseas exhibitions and foreign companies' exhibitions in China with relevant departments, and holding forums, reports and seminars;
(four) to participate in the formulation of recommended industry standards, service standards, quality standards and national and international standards of the industry; Carry out industry qualification management, quality management and supervision; Recommend high-tech products with the approval of relevant government departments; Organizing the identification, popularization and application of products and scientific and technological achievements;
(five) to organize training in talents, technology, occupation, management, laws and regulations, and guide and assist enterprises to improve their management level;
(six) to formulate rules and regulations and supervise their implementation, and regulate the behavior of the industry; For members who violate the articles of association and articles of association, produce and sell fake and inferior products, damage the legitimate rights and interests of consumers, participate in unfair competition, commit fraud and other illegal acts, trade associations can take disciplinary measures such as warning, industry criticism, informed criticism and cancellation of membership; It can be suggested that the relevant administrative and judicial organs investigate and deal with the illegal acts of non-member units in this industry according to law;
(seven) reflect the requirements of members, coordinate the relationship between members and between members and other interested parties, and safeguard the legitimate rights and interests of members; Coordinate peer price disputes, maintain fair competition and market order, and organize product market construction;
(eight) to carry out international and domestic economic and technological exchanges and cooperation, contact international industry organizations in the same industry, and participate in their social and economic activities;
(nine) to improve the international competitiveness of the whole industry, explore the international market, coordinate foreign trade disputes, and apply for certificates of origin for export products;
(10) Conducting anti-dumping, anti-monopoly and countervailing investigations on behalf of industrial enterprises, or applying to the government for investigation; Respond to anti-dumping on behalf of enterprises;
(eleven) the development of industrial and social welfare undertakings;
(twelve) according to the authorization of laws and regulations and government departments, to participate in the formulation of industry development planning, industry statistics, public trust certificate, industry access qualification and professional qualification audit, industry major technological transformation (technology introduction) project demonstration and other matters.
Chapter III Members
Article 7 Members of this Association are divided into unit members and individual members. State-owned, collective, joint-stock companies, private enterprises, individuals, joint ventures, foreign-funded enterprises, institutions and other economic organizations engaged in the following businesses within the territory of China may become members of this Association after they have been registered according to law, obtained business licenses or legal person registration certificate, and have been operating continuously for more than six months.
(a) enterprises engaged in the production, operation and maintenance of teaching equipment and software;
(two) units engaged in teaching equipment and software management, scientific research and teaching;
(three) teaching instruments and equipment industry organizations at all levels in provinces, autonomous regions, municipalities directly under the central government and cities under separate state planning.
Individuals who actively support the activities of the Association, are enthusiastic about teaching instruments and equipment, and have made great achievements in theory or practice can become individual members of the Association after completing the membership procedures.
Article 8 To apply for joining this Association, the following conditions must be met:
(1) Supporting the articles of association;
(2) Having the will to join this Association;
(3) Having certain influence in the business field of the Association;
(4) Willing to contribute to the development of this industry.
Article 9 Membership procedures:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(3) Publish the list in newspapers, periodicals and websites of the Association;
(four) sent by the secretariat to membership certificate.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of this association;
(three) the priority of obtaining the service of this association;
(four) have the right to criticize, suggest and supervise the work of this association;
(five) voluntary membership, free withdrawal;
(six) to protect the legitimate rights and interests of member units and individual members.
Article 11 Members shall perform the following obligations:
(a) to implement the resolutions of this Council;
(two) to safeguard the legitimate rights and interests of this association;
(three) to complete the work assigned by the association;
(four) to pay the membership fee according to the regulations (individual members can be exempted from paying);
(five) to reflect the situation to the association and provide relevant information.
Article 12 When a member withdraws from the meeting, he shall notify the Association in writing, and his membership card shall be withdrawn. Publish the list of quitters in newspapers, publications and websites of the Association.
If a member fails to pay the membership fee, fulfill his membership obligations or participate in the activities of the association for one year, it will be deemed as automatic withdrawal. Revoke the membership card and publish the list in the newspapers, publications and websites of the association.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council. Take back the membership card and publish the delisting list in the newspapers, publications and websites of the association.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress: (1) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Formulating and amending rules and regulations;
(five) to formulate and revise the membership fee standards;
(6) Deciding to terminate.
(seven) to decide on the working principles, tasks and plans of the Association;
(eight) to decide on other major issues.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote. Voting was conducted by secret ballot.
Article 16 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the Council, reported to the Ministry of Education for review and approved by the Ministry of Civil Affairs. However, the term of office shall not be extended for more than one year.
Article 17 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.
Article 18 The functions and powers of the Council:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the executive director, chairman, vice chairman and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the institutions of the Association to carry out their work;
(nine) to formulate internal management system;
(10) Changes of directors and members;
(eleven) to formulate the specific work plan of the association and supervise the implementation;
(twelve) to decide on other major issues.
Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present. Voting was conducted by secret ballot.
Article 20 The Council shall meet at least once a year; Under special circumstances, it can also be held in the form of communication or special meeting of the board of directors.
Article 21 The Association shall have a standing council, which shall exercise the functions and powers of the first, third, fifth, sixth, seventh, eighth, ninth, tenth, eleventh and twelfth paragraphs of Article 18 when the council is not in session, and shall be responsible to the council.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting. Voting was conducted by secret ballot.
Article 23 The Standing Council shall meet at least once every six months; Under special circumstances, it can also be held in the form of communication or special meeting of the executive director.
Article 24 The Association shall have one chairman, several vice-chairmen, one secretary-general and several deputy secretaries-general. The association may appoint an honorary chairman. The chairman, vice-chairman and secretary-general of this association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) Having a good social credit record and having a good influence in the business field of the Association;
(3) The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having full capacity for civil conduct;
(six) love the industry and be familiar with the situation of the industry.
Twenty-fifth the chairman, vice-chairman and secretary-general of this association shall be approved by the Council, submitted to the Ministry of Education for review and approved by the Ministry of Civil Affairs before taking up their posts.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association shall be four years, and the longest term shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the members' representatives at the members' congress, reported to the Ministry of Education for review, and approved by the Ministry of Civil Affairs before taking office.
Article 27 The president of this Association is the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The chairman of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council, and report on their work;
(two) to supervise the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(3) Signing relevant important documents on behalf of the Association;
(4) If the chairman is unable to perform the duties of the chairman for some reason, a vice chairman shall be elected by the special meeting of the executive directors to act as chairman.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the appointment and dismissal of general full-time staff in offices, representative offices and entities;
(five) to examine and approve the expenses of general projects of the Association;
(6) Handling other daily affairs;
(7) When the Secretary-General is unable to perform the duties of the Secretary-General for some reason, the meeting of directors shall elect a deputy secretary-general to act as the Secretary-General.
Chapter V Principles of Asset Management and Use
Thirtieth sources of funds of this Association:
(1) membership fees;
(two) donations from domestic and foreign organizations, enterprises, institutions and individuals;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(six) the profits paid by the operating entities of this Association;
(7) Other lawful income.
Article 31 The Association shall collect membership fees according to the membership fee standards set by the general meeting.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 36 Before changing its legal representative, the association must accept the financial audit organized by the Ministry of Civil Affairs and the Ministry of Education.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 39 The amendment to the articles of association of this Association shall be submitted to the members' congress for deliberation after being voted by the Council.
Article 40 The revised articles of association of this Association shall come into effect within 15 days after being adopted by the members' congress, reviewed by the Ministry of Education and approved by the Ministry of Civil Affairs.
Chapter VII Termination Procedure and Financial Treatment after Termination
Article 41 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 42 A motion to terminate this association must be voted by the general meeting of members and reported to the Ministry of Education for the record.
Article 43 Before the termination of this Association, a liquidation organization shall be established under the guidance of the Ministry of Education and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 This Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.
Article 45 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the Ministry of Education and the Ministry of Civil Affairs and in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was adopted by the fourth general meeting of members on May, 2007 14.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
