Chapter I General Provisions Article 1 The name of this Association is All-China People's Mediators Association, and the English name is China People's Mediation Association, abbreviated as CPAM.
Article 2 The All-China People's Mediators Association is a non-profit national social organization composed of national people's mediators and local people's mediation organizations.
Article 3 The purpose of this Association is to unite the national people's mediators, hold high the great banner of Socialism with Chinese characteristics, implement the Scientific Outlook on Development, develop and improve the people's mediation system, put people first, resolve contradictions and disputes, enhance people's unity, safeguard fairness and justice, promote social harmony, and contribute to building a well-off society in an all-round way.
Article 4 This Association accepts the business guidance, supervision and management of the competent business unit, the Ministry of Justice of the People's Republic of China, and the registration authority, the Ministry of Civil Affairs of the People's Republic of China.
Article 5 The domicile of this Association is in Beijing. Chapter II Scope of Business Article 6 The scope of business of this Association:
(a) to educate members on Socialism with Chinese characteristics theory and organize members to learn the laws, regulations, rules and policies of the party and the state on people's mediation and the professional knowledge of people's mediation;
(two) to mobilize members to actively mediate contradictions and disputes, promote social harmony and maintain social stability;
(3) Summarize and exchange people's mediation experience, carry out theoretical research on people's mediation, and promote the reform and development of people's mediation system;
(four) support the people's mediators to perform their duties according to law and safeguard the legitimate rights and interests of members;
(five) to reflect the situation of civil disputes and people's mediation work to the government and relevant departments, and put forward opinions and suggestions on strengthening the construction of democracy and legal system at the grassroots level;
(six) to guide the work of the people's mediators associations of provinces, autonomous regions and municipalities directly under the central government;
(seven) to carry out exchange activities with foreign countries and mediation organizations in Hong Kong, Macao and Taiwan;
(8) Handling matters entrusted by the Ministry of Justice of the People's Republic of China. Chapter III Membership Article 7 People's Mediation Committees, local people's mediators associations and people's mediators are group members and individual members of this association.
Article 8 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the study, research, inspection and experience exchange activities organized by the Association;
(three) have the right to criticize, suggest and supervise the work of this association;
(four) the use of books and materials;
(five) to supervise the financial revenue and expenditure of the association.
Article 9 Members shall perform the following obligations:
(1) Abide by the articles of association of this Association and implement the resolutions of this Association;
(two) to safeguard the legitimate rights and interests of the association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(5) Report the relevant situation to this Council.
Article 10 If a member seriously violates the Articles of Association, he shall be removed from the membership by voting of the Council or the Standing Council. Chap IV selection and removal of organizations and responsible person article 11 that highest authority of this Association is the members' congress, and its functions and authority are:
(a) to formulate and amend the articles of association;
(two) to discuss and decide on the working principles and tasks of this association;
(3) To elect and recall members of the Council;
(4) Hearing and deliberating the work report and financial report of the Council;
(5) Deciding to terminate.
(six) to decide on other major issues.
Article 12 Model people's mediation committees, model people's mediators, outstanding people's mediation guidance and management personnel and representatives of investigation and research personnel who support the articles of association, participate in the activities of the association and make outstanding contributions in the business field of the association may serve as members' representatives.
Member representatives are recommended by the People's Mediators Associations of all provinces, autonomous regions and municipalities directly under the Central Government.
Thirteenth members' congress is held every five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority.
Article 14 A member congress can only be convened when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.
Article 15 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 16 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president, secretary general and deputy secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) decided to recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide on the appointment of the principal responsible persons of various institutions;
(eight) to formulate the work plan of the association and lead the institutions of the association to carry out their work;
(9) Organizing people's mediation academic research activities;
(ten) to formulate internal management system;
(eleven) additional directors;
(twelve) to decide on other major issues.
Article 17 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 18 The Council shall meet at least once a year to sum up its work, deploy tasks and study and solve problems.
Article 19 The Association shall establish a standing council. The Permanent Council consists of the Chairman, the Vice-Chairman, the Secretary-General and the Deputy Secretary-General. The Standing Council is elected by the Board of Directors. When the Board of Directors is not in session, it exercises the functions and powers of Article 16, items 1, 3, 5, 6, 7, 8, 9, 10,1,and is responsible to the Board of Directors.
Article 20 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the executive directors present at the meeting.
Article 21 The Standing Council shall hold a meeting at least once every six months to supervise and inspect the implementation of tasks and to study and decide on matters to be submitted to the Council for decision.
Article 22 The president, vice-president, secretary-general and deputy secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(3) The maximum working age of the president, vice-president, secretary-general and deputy secretary-general shall not exceed 70;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 23 The term of office of the President, Vice-President, Secretary-General and Deputy Secretary-General of this Association is five years. The term of office of the president, vice-president, secretary-general and deputy secretary-general shall not exceed two terms.
Article 24 The executive vice president of this Association is the legal representative of this Association.
Article 25 The President of this Association shall exercise the following functions and powers:
(1) Convening and presiding over the Standing Council;
(two) to check the implementation of the resolutions of the members' congress and the Standing Council;
(3) Signing relevant important documents on behalf of this Council.
Article 26 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs. Chapter V Principles of Asset Management and Utilization Article 27 Sources of funds of this Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) Other lawful income.
Article 28 The Association shall collect membership fees in accordance with the relevant provisions of the State. Individual members do not pay fees.
Article 29 the funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.
Thirtieth Association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 31 This Association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 32 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or funding, it must be subject to audit supervision.
Article 33 Before an association changes its legal representative, it must accept the financial audit organized by the association registration authority and the competent business unit.
Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 35 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions. Chapter VI Procedures for Amending the Articles of Association Article 36 The amendment of the Articles of Association shall be approved by the Council and submitted to the members' congress for deliberation.
Article 37 The revised articles of association of this Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit, and reported to the association registration authority for approval. Chapter VII Termination Procedure and Disposal of Property after Termination Article 38 If this Association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 39 The motion to terminate this Association must be voted by the general meeting of members and submitted to the competent business unit for examination and approval.
Article 40 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 41 An association shall be terminated after its registration is cancelled by the association registration authority.
Article 42 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration administration organ of this Association in accordance with the relevant provisions of the state. Chapter VIII Supplementary Provisions Article 43 The Articles of Association were adopted by the members' congress on June 28th, 2007.
Article 44 The right to interpret the Articles of Association belongs to the Standing Council of the Association.
Article 45 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
