Chapter I General Principles

Article 1 The name of this group is "Fujian General Chamber of Commerce in Yunnan Province" (English translation: Fujian General Chamber of Commerce in Yunnan Province). Article 2 The Fujian General Chamber of Commerce in Yunnan Province is a non-profit professional social organization voluntarily formed by Fujian businessmen who run enterprises in Yunnan Province. Article 3 The purpose of Fujian General Chamber of Commerce in Yunnan Province is to unite, expand, communicate and serve, unite Fujian people in the industrial and commercial circles, abide by the Constitution, laws, regulations and national policies, and abide by social morality; Strengthen contacts, enhance friendship, provide services, exchange information, support each other and promote cooperation; Accelerate development, give full play to the advantages and functions of this association, and contribute to speeding up the construction of material civilization and spiritual civilization in Yunnan Province and revitalizing China. Article 4 The Fujian General Chamber of Commerce in Yunnan Province accepts the business guidance, supervision and management of the competent business units, namely the Yunnan Federation of Industry and Commerce and the Yunnan Provincial Civil Affairs Department. Chapter II Scope of Business

Article 6 The business scope of Fujian General Chamber of Commerce in Yunnan Province is as follows: (1) Make extensive contact with overseas Chinese at home and abroad and Fujian business people, strengthen information exchange, introduce investment direction, introduce capital, technology and talents, promote all-round cooperation, and bridge the gap for Yunnan's economy. (two) carry forward the fine tradition of self-education, publicize the principles and policies of the state, strengthen political and ideological work, educate the members of unity, friendship, mutual assistance, patriotism, professionalism and law-abiding, and constantly improve the quality of the members. (3) safeguard the legitimate rights and interests of members, reflect their opinions, demands and suggestions, play a bridge role between members and the government, and be an assistant to the business community in the government's management of the association. (4) To provide members with market, technology, commodities and other information, provide members with legal, accounting, auditing, financing, consulting, communication, training, investment and other services within the scope permitted by laws and regulations, and do a good job in the service work of this Association. (five) to provide necessary certificates for members, and to coordinate relations and mediate economic disputes and civil disputes for members. (six) to coordinate the relationship between members, safeguard fair competition and rights between members and industries, ensure normal production and sales order, and prevent the legitimate rights and interests of members from being damaged. (seven) according to the relevant policies of the state, organize members to hold or participate in various foreign commodity fairs and fairs, and organize members' inspection when conditions permit to help open up domestic and foreign markets. (8) If conditions permit, enhance contacts and friendship with overseas Chinese groups, associations in Taiwan, Hong Kong and Macao, and domestic industrial and commercial economic associations, promote the development of economic, technological and trade cooperation, and help introduce capital, technology and talents. (nine) to undertake matters entrusted by the government and relevant departments.

Chapter III Members

Article 7 All Fujian industrial and commercial people who set up enterprises in Yunnan Province recognize the Articles of Association, and can become members of the Association after going through relevant procedures in accordance with the principles of voluntary membership and free withdrawal. Members of this association are divided into unit members and individual members. Article 8 A member who applies to join the Fujian General Chamber of Commerce in Yunnan Province must meet the following conditions: (1) Supporting the articles of association; (2) Having the will to join this Association; (3) Having a certain influence in the business field of the Association; (four) where the judicial, public security, procuratorial, taxation and related functional departments, Fujian nationals who have registered or restricted their entry and exit will not be accepted as members in Yunnan. Article 9 Membership procedures of Fujian General Chamber of Commerce in Yunnan Province: (1) Apply for membership; (two) discussed and approved by the Standing Council; (3) It has been discussed and approved by the general meeting of all members; (4) Membership card issued by the Secretariat of Fujian General Chamber of Commerce in Yunnan Province. Article 10 Members of Fujian General Chamber of Commerce in Yunnan Province shall enjoy the following rights: (1) The right to vote, to be elected and to vote; (two) to participate in various activities of this association; (three) to obtain the priority of our services; (four) have the right to criticize, suggest and supervise the work of this association; (five) to enjoy the welfare benefits organized by this association and the assistance under special circumstances; (six) voluntary membership, free withdrawal; (seven) in the general election, the previous vice president or above (including the vice president) shall enjoy the right to vote in the next session. Article 11 Members of Fujian General Chamber of Commerce in Yunnan Province shall perform the following obligations: (1) To implement the resolutions of this Association; (two) to safeguard the legitimate rights and interests of the association; (three) to complete the work assigned by the association; (four) to pay membership fees in accordance with the provisions; (5) Report the situation to this Council and provide relevant information. Article 12 A member who withdraws from the meeting shall notify the Chamber of Commerce in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association within 1 year, it will be deemed as automatic withdrawal. Article 13 If a member violates the Articles of Association, he/she shall be removed from the membership by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the general meeting of all members, and its functions and powers are: (1) to formulate and amend the articles of association; (2) Electing and dismissing directors; (3) Deliberating the work report and financial report of the Council: (4) Deciding to terminate; (5) Deciding on other major matters. Article 15 A general meeting of members shall be held only when more than two thirds of the members are present, and its resolutions shall take effect only when more than half of the members are present. Article 16 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority, but the longest extension of the general election shall not exceed 1 year. Article 17 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members. Article 18 The functions and powers of the Council: (1) To implement the resolutions of the general meeting of members; (two) to elect and recall the president (vice president), supervisors, deputy supervisors and secretary general; (3) Preparing for convening a general meeting of members; (four) to report the work and financial situation to the general assembly; (five) to decide to absorb or recall members; (6) Deciding to establish offices, branches, representative offices and entities; (seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions; (eight) to lead the work of the institutions of this Association; (nine) to formulate internal management system; (10) To decide on other major matters. Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present. Article 20 The Council shall meet at least once every two years. Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8 and 9 when the Council is not in session, and is responsible to the Council. Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting. Article 23 The Standing Council shall meet at least once every six months. Article 24 The president, vice president, supervisor, deputy supervisor and secretary-general of this Association must meet the following conditions: (1) Adhere to the Party's line, principles and policies and have good political quality; (2) It has great influence in the business field of the Association; (3) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time; (4) Being in good health and able to stick to normal work; (5) Having not been subjected to criminal punishment of deprivation of political rights; (6) Having full capacity for civil conduct. Article 25 The president, president, vice-president, vice-president, supervisor, deputy supervisor, and secretary-general of this Association shall be approved by the Council, reported to the competent business unit for review, and approved by the association registration authority before taking up their posts. Article 26 The term of office of the president, chairman, vice-president, vice-president, supervisor, deputy supervisor and secretary-general of this Association shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members of the general assembly, reported to the competent business unit for review, and approved by the registration authority of the association before taking office. Article 27 The president of this Association is the legal representative of this Association. The legal representative of this group does not concurrently serve as the legal representative of other groups. Article 28 The president of the Association shall exercise the following functions and powers: (1) To convene and preside over the Council; (two) to check the implementation of the resolutions of the General Assembly and the Council; (3) Signing relevant important documents on behalf of this Council. Article 29 The Secretary-General of the Association shall exercise the following functions and powers: (1) Preside over the daily work of the office and organize the implementation of the annual work plan; (2) Coordinating the work of branches, representative offices and entities; (3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision; (four) to decide on the employment of full-time staff of offices, representative offices and entities; (5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 30 The source of funds of this Association: (1) Membership fees paid by members according to regulations; (2) Accepting donations from members, enterprises and relevant persons; (3) government funding; (4) Income from activities or services provided within the approved business scope; (5) interest; (6) Other lawful income. Article 31 The membership fee of the Association is sponsored by members voluntarily. Article 32 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and may not be distributed among members or borrowed from abroad. Article 33 The Association shall establish a strict financial management system, and the fund use plan must be submitted to the chairman's meeting for discussion, which shall be deliberated and decided by the board of supervisors to ensure that the fund use plan is legal, true, accurate and complete. Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers, and they must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient. Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions. And publish relevant information to the public in an appropriate way. Article 36 Before changing its members or legal representatives, an association must accept the financial audit organized by the registration authority and the competent business unit of the association. Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association. Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 39 Any amendment to the Articles of Association must be approved by the board of directors and submitted to the shareholders' meeting for deliberation. Article 40 The revised articles of association of the Association shall come into effect within 65,438+05 days after being approved by the general meeting of members, examined and approved by the competent business unit and reported to the registration and management authority of the Association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion. Article 42 The motion to terminate this Association must be voted by the general meeting of members and submitted to the competent business unit for approval. Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant organs and units to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. Article 44 this association shall be terminated after the cancellation of registration by the association registration authority. Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the general meeting of Fujian General Chamber of Commerce in Yunnan Province on June 28th, 2009. Article 47 The right to interpret the Articles of Association belongs to the Council of the Association. Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
