Article 1 The name of this Association is Qinghai Insurance Industry Association (IAQ in English), which is an enterprise legal person registered in the Civil Affairs Department of Qinghai Province with the approval of China Insurance Regulatory Commission (hereinafter referred to as the Association). The Association is a member of the China Insurance Association.
Article 2 This Association is an industry self-regulatory organization of commercial insurance industry in Qinghai Province. It is a non-profit social legal person association with insurance companies and insurance intermediaries operating in Qinghai Province as members.
Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations, rules and national policies, abide by social ethics, provide services for members, safeguard the interests of the industry, the legitimate rights and interests of members and insurance parties, strengthen coordination and self-discipline among members, consciously maintain market order, and promote the healthy, coordinated and sustainable development of insurance industry in Qinghai Province.
Article 4 This Association shall be subject to the management, guidance and supervision of Qinghai Supervision Bureau of China Insurance Regulatory Commission, and the supervision and management of the organization and staffing administration organs of Qinghai Province.
Article 5 The office of this Association is located in Xining City, Qinghai Province.
Chapter II Scope of Responsibilities
Article 6 The scope of duties of this Association:
Self-discipline: urge member units to operate in compliance with laws and regulations; Maintain a fair competitive market environment, and formulate self-discipline conventions and industry standards that the insurance industry in Qinghai Province will jointly abide by; Carry forward the professional ethics of honesty and trustworthiness, and establish and improve the credit system of insurance industry; Strengthen the self-discipline management of insurance practitioners and intermediaries, supervise their practice, restrain unfair competition, and conduct self-discipline and punishment.
Safeguarding rights: participating in decision-making argumentation and putting forward suggestions conducive to the development of the industry; Carry out investigation and research to reflect the voice of the industry; Strengthen communication with regulatory authorities and relevant government departments, strive for a social and policy environment conducive to the development of the insurance industry, and safeguard the interests of the industry and the legitimate rights and interests of members.

Training: According to the Interim Measures of China Insurance Regulatory Commission for Continuing Education of Insurance Intermediary Practitioners (No.41No.2005) and the Notice of China Insurance Regulatory Commission on Strengthening the Management of Continuing Education of Insurance Intermediary Practitioners (No.0/07/No.2005), the Association is entrusted and authorized by Qinghai Insurance Regulatory Bureau.
(1) To be responsible for organizing the continuing education of insurance intermediary agents;
(two) responsible for organizing the continuing education of part-time insurance agents;
(3) To be responsible for organizing the continuing education of insurance public courses for the salesmen of insurance companies in addition to demonstrating their skills and company business;

Chapter III Members
Article 7 This Association only accepts unit members. Unit members refer to insurance companies, insurance intermediaries and insurance organizations.
Article 8 A member applying to join this Association must meet the following requirements:
(1) Support the articles of association.
(2) Have the will to join this Association.
(3) Chinese and foreign-funded insurance institutions approved by the China Insurance Regulatory Commission and registered in the administrative department for industry and commerce of Qinghai Province, including insurance companies or branches of insurance companies and insurance intermediaries.
Article 9 Membership procedures:
(1) Submit the application for membership.
(2) Having been discussed and approved by the Council, and going through the membership procedures.
Article 10 Members shall enjoy the following rights:
(1) Members have the right to deliberate, vote, vote and stand for election.
(two) members have the right to participate in various activities organized by the association, and have the priority to obtain the services of the association.
(three) members have the right to put forward opinions and suggestions on the work of the association, as well as criticism and supervision.
(4) Membership of this Association is voluntary and withdrawal is free.
Article 11 Members shall perform the following obligations:
(1) Comply with national financial and insurance policies and regulations;
(2) Abiding by the articles of association, implementing the resolutions and the insurance industry self-discipline convention;
(three) actively participate in the demonstration and decision-making of major issues of the association, and vigorously support the work of the association;
(four) concerned about the construction of the association and safeguarding the legitimate rights and interests of the association;
(five) actively participate in the activities of the association, undertake and assist in completing the tasks assigned by the association;
(six) to accept the consultation and investigation of the association, truthfully reflect the situation, and provide the required information in time;
(7) Pay the membership dues in full and on time.
Article 12 A member who withdraws from the meeting shall notify the Association in writing. If a member does not pay the fee for one year and does not participate in the activities of this association, it will be regarded as automatic withdrawal.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting at the meeting of the Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the general meeting of members, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(four) to consider matters raised by the Council and members;
(five) to decide on the termination of the association;
(six) to decide on other major issues.
Article 15 A general meeting of members can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.
Article 16 The general meeting of members shall be held every two years. If it is necessary to change the membership in advance or postponed due to special circumstances, it shall be voted by the board meeting, reported to Qinghai Insurance Regulatory Bureau for review, and approved by the national community management agency, but the postponement of changing the membership shall not exceed one year.
Article 17 The Council is the executive body of the general meeting of members. When the general meeting is not in session, lead the association to carry out its daily work and be responsible for the general meeting.
Article 18 The functions and powers of the Council are:
(a) Implementing the resolutions of the General Assembly.
(two) to elect and recall the chairman, vice chairman, secretary general and executive director of the Council.
(three) to prepare for the convening of the members' congress.
(four) to report the work and financial situation to the general assembly.
(five) to decide on the membership or withdrawal of members.

Article 19 A meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolutions can only take effect after being voted by more than two thirds of the directors present.
Article 20 The board meeting shall be held once a year. When the chairman is unable to perform his duties due to special reasons, it shall be convened or presided over by the vice chairman. If there are special circumstances, the board meeting may be convened temporarily upon the proposal of the chairman or more than two thirds of the directors, or by means of communication.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall hold a meeting every quarter. Under special circumstances, it can also be convened by communication.
Article 24 The Standing Council shall be responsible to the Council and lead the work of the Secretariat when the Council is not in session. The main functions and powers of the Standing Council are:
(1) Implementing the resolutions of the Council meeting.
(two) to prepare for the convening of the general assembly.
(three) to decide on the membership, withdrawal and expulsion of members.
(4) To decide on the establishment of the secretariat of the Association and the professional coordination committees.
(five) to decide on the appointment of the Deputy Secretary-General, the internal organs of the Secretariat and the heads of the professional coordination committees.
(six) to formulate the internal management system of the association.
(seven) to supervise and organize the implementation and completion of the work of the secretariat, and organize the exchange and research of industry information.
(eight) to decide on other major issues.
Article 25 The Association shall have a chairman and a vice-chairman. The chairman of the Association shall be the principal responsible person of the member unit, and the vice chairman shall be the principal responsible person of other member units except the unit where the chairman belongs, elected by the board of directors and reported to Qinghai Insurance Regulatory Bureau for approval. When the chairman and vice-chairman are not the main leaders of the member units, they should resign from the association within one month and be replaced or re-elected by the successor leaders of the unit.
Twenty-sixth the chairman and vice chairman of this association must meet the following conditions:
(a) adhere to the party's line, principles and policies, strong political quality.

Article 27 If the term of office of the chairman and vice-chairman exceeds the maximum working age or needs to be extended due to special circumstances, it shall be approved by the Council meeting, reported to Qinghai Insurance Regulatory Bureau for review, and approved by Qinghai Association Registration Administration. The term of office of the chairman is 2 years and cannot be re-elected. If the Council is re-elected, he can be re-elected for one term.
Article 28 The chairman shall exercise the following functions and powers:
(1) Convening and presiding over the meetings of the Council.

Article 29 The Secretary-General shall be a permanent full-time post. The Secretary-General is a full-time employee and may not hold other positions inside or outside the insurance industry. Article 30 The Secretary-General shall meet the following requirements:
(1) Having high political quality and strong organization and coordination ability.

Article 31 The term of office of the Secretary-General is three to five years, and he may be re-elected. The term of office of the Secretary-General is generally not more than 60 years old. Under special circumstances, it may be appropriately extended with the approval of the Council or the Standing Council and the Qinghai Insurance Regulatory Bureau. The Secretary-General may leave his post early during his term of office. If there is any violation of law or discipline or damage to the interests of the industry, the Standing Council may designate a temporary acting Secretary-General or re-elect in advance after being studied by the Standing Council or the Council and reported to the Qinghai Insurance Regulatory Bureau for approval. Article 32 The Secretary-General shall exercise the following functions and powers:
(a) to preside over the daily work of various offices, and organize the implementation of the annual work plan and financial budget and final accounts of the Association;
(two) to nominate the deputy secretary general and the principal responsible persons of each office and submit them to the Standing Council for decision;
(3) publishing daily documents;

Chapter V Principles of Asset Management and Use
Article 34 The sources of funds of this Association are:
(1) membership fee: membership fee and annual fee.
(2) Income from activities or services provided within the approved business scope.

(5) Other lawful income.
Article 35 The Association shall collect membership fees and other activities funds in accordance with the relevant provisions of the State and the methods discussed and adopted by the Council.
Article 36 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and may not be used for other purposes or distributed among members.
Article 37 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 38 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. Prepare the last year's final accounts report and this year's budget report every year 1 month, submit them to the Council for deliberation, then publish them to the member units, and accept the audit and supervision of relevant departments. If the source of assets belongs to social donations or subsidies, it must accept the supervision of audit institutions and publish relevant information to the public in an appropriate way. No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Article 39 No unit or individual may occupy, privately divide or misappropriate the assets of the Association.
Article 40 When a member unit withdraws from the association, its membership fees and paid fees will not be refunded. If the association is dissolved, the balance will be returned according to the actual income and expenditure.
Article 41 The wages, insurance guarantees and welfare benefits of the full-time staff employed by this Association shall be implemented in accordance with the relevant standards of Qinghai insurance industry and the relevant regulations of the state and Qinghai institutions. The specific plan shall be put forward by the Secretary-General according to the actual situation of the Association and reported to the Standing Council for study and determination.
Forty-second member units withdraw from the association, and the membership fees and paid membership fees will not be refunded. If the association is dissolved, the balance will be refunded according to the actual income and expenditure.
Chapter VI Procedures for Amending the Articles of Association
Forty-third amendments to the articles of association of this association must be approved by the Council meeting and submitted to the general meeting for consideration.
Article 44 The revised articles of association of this Association shall come into effect within 65,438+05 days after being adopted by the general meeting of members, approved by Qinghai Insurance Regulatory Bureau, and reported to the registration authority of Qinghai Province for approval.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 45 When an association completes its purpose or disbands itself, the board of directors shall propose a resolution to terminate it.
Article 46 The motion to terminate this Association must be voted by the general meeting of members and reported to Qinghai Insurance Regulatory Bureau for approval.
Article 47 Before the termination of this Association, a liquidation organization shall be established under the guidance of Qinghai Insurance Regulatory Bureau and relevant departments to clean up creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 48 This Association shall be terminated after the cancellation of registration by the registration administration organ of Qinghai Province.
Article 49 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of Qinghai Insurance Regulatory Bureau and Qinghai Association Registration Administration in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 50 The Articles of Association was adopted by the general meeting of members on.
