Constitution of China Arts and Crafts Society
China Arts and Crafts Association and China Arts and Crafts Association are different organizations.

Article-The name of this group is "China Arts and Crafts Association" (hereinafter referred to as "Association"), and the English name is China Arts & amp; Handicraft Association (CACA)

Article 2 This Association is a national non-profit social and economic group voluntarily formed by enterprises in the arts and crafts industry, a social group legal person, and an inter-regional inter-departmental inter-ownership organization.

Article 3 The purposes of this Association are: to abide by the national constitution, laws, regulations and national policies, and to abide by social morality; Adapt to the requirements of establishing the socialist market economic system and modernization, play the role of a bridge and link between the government and enterprises, enthusiastically serve enterprises and industries, promote the development of arts and crafts industries, and prosper arts and crafts undertakings.

Article 4 This Association accepts the professional guidance, supervision and management of the competent department of arts and crafts industry and the Ministry of Civil Affairs.

Article 5 The seat of this Association is Beijing.

Chapter II Scope of Business

Article 6 The business scope of this Association

(a) to carry out a survey of the basic situation of the industry and put forward suggestions to the government departments on formulating industry planning, economic legislation, economic and technological policies, etc. Assist in the formulation of industry standards and participate in the business guidance of industry testing, standards and information;

(two) to make suggestions on product structure and enterprise structure adjustment, raw material base construction, investment orientation and scientific and technological development orientation, and to participate in or organize the evaluation and consultation of major infrastructure and technological transformation projects for industry development;

(three) to organize economic and technological exchanges in this industry and promote scientific research, technological transformation and new product development. Implement total quality management in the industry to improve product quality and grade and improve economic benefits;

(four) to cooperate with the relevant departments to implement the policy of arts and crafts experts and professional and technical personnel, and to assist in the implementation of measures to protect, develop and improve excellent traditional skills;

(five) to organize and promote member units and relevant departments to carry out employee education, talent development and talent exchange, and recommend personnel to study, study and train abroad;

(six) to participate in international professional conferences and related activities, actively develop contacts with relevant foreign non-governmental organizations, organize and arrange international exchange activities of member units, and receive foreign delegations;

(seven) to promote various forms of cooperation inside and outside the industry, and to organize and coordinate the problems in production and operation, technical cooperation and competition within and between industries;

(eight) to carry out consulting services, provide domestic and foreign technical and economic information and market information, organize product exhibitions, and guide the business activities of member units;

(nine) to organize member units to negotiate and conclude rules and regulations and supervise their compliance;

(ten) the development of public welfare undertakings in the arts and crafts industry, recommend industry enterprises and famous brands and high-quality products, and crack down on counterfeit and shoddy products. Safeguard the legitimate rights and interests of member units;

(eleven) to undertake other tasks entrusted or assigned by the competent government departments.

Chapter III Members

Article 7 Members of this Association include group members, individual members and honorary members.

All enterprises engaged in the production and sale of arts and crafts, enterprises that have obtained business licenses for industry and commerce according to law, scientific research, education, academia, design and other relevant institutions or relevant social organizations may apply to join this group as long as they recognize the articles of association.

Entrepreneurs, masters of arts and crafts and professional and technical personnel who have contributed to the development of arts and crafts may apply to become individual members. Individual members are divided into ordinary members and senior members, and members of the Master of Arts and Crafts Branch are also senior members.

Scholars, social celebrities, overseas Chinese and compatriots from Hong Kong and Macao who are enthusiastic about helping China develop arts and crafts can be employed as honorary members of the Association.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Team members:

1, enterprises engaged in the production and sale of arts and crafts, scientific research institutes and other related institutions or related social groups;

2. Support the articles of association of this Association;

3. Have the will to join this association;

4. It has a certain influence in the arts and crafts industry.

(2) Individual members of ordinary people

1. Acknowledge the articles of association of this association and have the will to join this association;

2. Professional and technical personnel with intermediate or above titles;

3. Have a technical secondary school education or above and have been engaged in practical work for more than five years;

4, there are inventions, major scientific and technological achievements or monographs;

5. Leading cadres who enthusiastically support our work and engage in arts and crafts work.

(3) Senior member

1. Acknowledge the articles of association of this association and have the will to join this association;

2. Enthusiastic support for our work;

3, with the honorary title of national and provincial master of arts and crafts or the title of associate professor and associate researcher in scientific research institutes;

4. Have a technical secondary school education or above and have been engaged in practical work for more than ten years;

Article 9 The procedures for joining the club are as follows:

(a) submit an application for membership, and individual members submit copies of their academic qualifications, professional titles and award-winning certificates; A copy of the business license submitted by the group members;

(2) discussed and adopted by the Council;

(3) Paying annual membership fees and membership card fees;

(4) The membership card shall be issued by the Council or an institution authorized by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in domestic and foreign business activities and other related activities organized by the association;

(three) to obtain the priority of the service of the association, to enjoy the relevant publications and materials published by the association, and to participate in the exhibition booths organized by the association. ;

(four) have the right to criticize, suggest and supervise the work of this association;

(five) to ask the association to help study and solve major problems existing in production technology or enterprise management;

(six) have the right to ask the association to protect their legitimate rights and interests from infringement;

(7) voluntary membership and free withdrawal.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association and implement the resolutions of the Association;

(two) to safeguard the legitimate rights and interests of this association;

(three) actively participate in the business activities organized by the association and complete the tasks entrusted by the association;

(four) to reflect the relevant situation to the association and provide information and management experience in production, technology and enterprise management;

(five) to pay the membership fee according to the regulations.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the Association within 1 year, it will be deemed as automatic withdrawal.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Democratic election and recall of directors of the Association;

(three) to consider the work report and financial report of the Council, and to consider and deal with the proposals of the representatives;

(four) to discuss and decide on the working principles, tasks and major issues of the Association;

(5) Deciding on other major matters.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 Members' congresses are held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the Council, reported to the competent business unit for examination and approval by the Ministry of Civil Affairs. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the chairman, vice chairman and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate the management system of the association secretariat;

(10) When the members' congress is not in session, the number of directors may be appropriately increased after discussion and approval by the board of directors according to the needs of the work.

(eleven) to decide on other major issues.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year. Under special circumstances, it can also be convened by communication.

Article 20-The Association shall establish a permanent council. The Standing Council shall be elected by the Council: when the Council is not in session, it shall exercise the functions and powers specified in Items 1, 3, 5, 6, 7, 8 and 9 of Article 18 and be responsible to the Council (the number of standing directors shall not exceed 65,438+0/3 of the number of directors).

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall hold a meeting at least once a year, and it may also be held in the form of communication under special circumstances.

Article 24 An association may employ honorary directors and consultants. The chairman has the obligation to regularly report to the honorary chairman on the work of the association and the work of the Council, and the honorary chairman has the obligation to provide opinions and suggestions to the chairman. Consultants are obliged to put forward work suggestions to the chairman, vice-chairman and Council on all aspects of the work of the association, and answer advisory matters.

Article 25 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 70, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 26 The chairman, vice-chairman and secretary-general of the Association shall be approved by the Council, reviewed by the competent business unit and approved by the registration authority of the Association before taking up their posts.

Article 27 The term of office of the Chairman, Vice-Chairman and Secretary-General of this Association is 4 years. (The term of office of the Chairman, Vice-Chairman and Secretary-General shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members of the general assembly, reported to the competent business unit for review, and approved by the Ministry of Civil Affairs before taking office.

Article 28 The chairman or secretary general of this Association shall be the legal representative of this Association. The legal representative of this Association shall not be the legal representative of other organizations.

Article 29 The chairman of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the members' congress and the Council;

(3) Sign relevant important documents on behalf of the group,

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision.

(4) To decide on the employment of full-time staff of offices, representative offices and entities,

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Thirtieth sources of funds of this Association:

(1) Membership dues paid by group members;

(2) Sponsorship by relevant units and individuals at home and abroad;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 30 the association collects membership fees in accordance with relevant state regulations.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-sixth before the association changes its legal representative, it must accept the financial audit organized by the Ministry of Civil Affairs and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 39 Any amendment to the Articles of Association must be approved by the board of directors and submitted to the members' congress for deliberation.

Article 40 The revised articles of association of this Association shall take effect within 15 days after it is adopted by the members' congress or approved by the competent business unit and submitted to the Ministry of Civil Affairs for approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 40-If this Association completes its purpose or disbands itself, or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a motion to terminate it.

Article 42 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.

Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 This Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.

Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the Ministry of Civil Affairs and in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association shall come into effect on October 28th, 2005, after being deliberated and adopted at the first meeting of the fourth Council.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
