1. If the subject of the agreement is unqualified, that is, a person with no capacity for civil conduct or a person with limited capacity for civil conduct enters into an agreement, and the legal representative refuses to ratify it, the agreement is invalid;
2. The content of the agreement is illegal, which is manifested as an agreement that violates the mandatory provisions of laws and administrative regulations, and the agreement is invalid, or the agreement that violates the public interest is invalid.

Unless the other party knows or should know that the legal representative of a legal person or the person in charge of an unincorporated organization has exceeded his authority, the representative's behavior is valid and the contract concluded is valid for the legal person or unincorporated organization.
Article 505
The validity of a contract concluded by the parties beyond the business scope shall be determined in accordance with the relevant provisions of Section 3 of Chapter 6 of Part I of this Law and this Ministry, and the contract shall not be deemed invalid just because it exceeds the business scope.
