Before this adjustment, Ma Yun was the actual controller of Ant Group. Ownership structure of Ant Group: Hangzhou Hanjun and Hangzhou Junan hold 53.46% of the shares of Ant Group. Hangzhou Yun Bo Investment Consulting Co., Ltd. is the general partner of Hangzhou Hanjun and Hangzhou Junao, and does not enjoy any economic benefits of Ant Group.
Ma Yun, Jing Xiandong, Hu Xiaoming and Jiang Fang hold 34%, 22%, 22% and 22% shares of Yun Bo Investment respectively. According to Yun Bo Investment's current Articles of Association and Concerted Action Agreement, Ma Yun can actually control the voting results of Yun Bo Investment Shareholders' Meeting and the exercise of the shareholders' rights of Ant Group, and then indirectly control the voting rights of 53.46% shares of Ant Group through Hangzhou Hanjun and Hangzhou Junao, which are controlled by Yun Bo Investment. So before this adjustment, Ma Yun was the actual controller of Ant Group.
Main arrangements for this adjustment
1, Ma Yun, Jing Xiandong, Hu Xiaoming and Jiang Fang terminated their concerted action relationship at the investment level in Yun Bo;
2. Jing Xiandong, Ni and Zhao Ying each hold 20% equity of Yun Bo Investment through equity transfer;
3. Yun Bo Investment withdrew from Hangzhou Junyi, and Hangzhou Chineydy Enterprise Management Consulting Co., Ltd. joined Hangzhou Junyi as the general partner and executive partner of Hangzhou Junyi; Hangzhou Chineydy is owned by Ma Yun, Han Xinyi, Huang and Zhou Yun, each holding 20%;
4. After this adjustment, all shareholders of Yun Bo Investment and Hangzhou Xing Tao promise to invest in Yun Bo or Hangzhou Xing Tao to independently exercise their shareholder rights including voting rights, and will not reach an agreement with any other party; Do not seek control of the ant colony alone or in combination with any other party.
