Chapter I General Provisions

Article 1 Name of this Association: China Association for the Promotion of International Cooperation in Agriculture.

English name:

China Association for the Promotion of International Agricultural Cooperation.

Abbreviation: CAPIAC

Article 2 This Association is a national non-profit organization composed of social groups, enterprises, institutions and individuals who are engaged in or interested in international cooperation and exchanges in agriculture in China.

Article 3 The purpose of this Association is to organize contacts with organizations and individuals at home and abroad who are enthusiastic about China's agricultural and rural reform and development under the premise of observing China's Constitution, laws, regulations and national policies, effectively utilize the advantages of overseas funds, technology, information, talents, markets and management, promote the development of China's export-oriented agriculture, improve the level of agricultural modernization and comprehensively develop China's rural economy.

Article 4 The Association shall accept the business guidance, supervision and management of the Industrial Policy and Regulation Department of the Ministry of Agriculture and the Ministry of Civil Affairs, which are the competent registration authorities of associations.

Article 5 The meeting place of this Association is in Beijing.

Chapter II Main Tasks and Business Scope

Article 6 The main tasks and business scope of this Association are:

1 Introduce overseas resources, capital, technology, information, talents and management to promote agricultural modernization in China;

Promote the export of agricultural products to earn foreign exchange and promote the development of export-oriented agriculture in China;

3. Carry out various forms of agricultural international cooperation activities, and organize agricultural investigation and exchange activities at home and abroad; Introduce and publicize the policies, achievements and experiences of agricultural development in China; Strive for the international community to give more understanding and support to China's agricultural and rural economic development;

4. Exchange experience and information on international agricultural cooperation and establish an information network;

Providing consultation, training and other services for international cooperation projects in agriculture and rural areas;

Undertake and entrust the evaluation and demonstration of agricultural and rural research topics and development projects at home and abroad.

Chapter III Members

Article 7 An association consists of group members and individual members.

Article 8 A member applying to join this Association shall meet the following requirements:

1 approve the articles of association of this association;

Have the will to join this association;

Abiding by discipline and law has a certain influence on the main tasks and business scope of this association.

Article 9 The procedures for joining the club are as follows:

1 Submit membership application;

2. The Council discussed and adopted;

The membership card will be issued by the secretariat of the association.

Article 10 Members shall enjoy the following rights:

1 right to vote, to be elected and to vote;

Participate in the management of this association and participate in various economic and social activities organized by this association;

Give priority to the information, materials and other services provided by the association;

4. Have the right to criticize, suggest and supervise the work of this Association;

Joining is voluntary and quitting is free.

Article 11 Members shall perform the following obligations:

1 Abide by the articles of association and implement the resolutions of the association;

2. Safeguard the legitimate rights and interests and common interests of the Association;

3. Seriously complete the work entrusted by this Association;

4. Pay membership dues according to regulations;

5. Reflect the situation to this Council and provide relevant information.

Article 12

Members who quit the club should notify the club in writing and return their membership cards. If a member unit or individual fails to pay the membership fee or participate in the activities of the association for one year, it will be deemed as automatic withdrawal.

Thirteenth members who seriously violate the laws, regulations and policies of the state and the articles of association of the association shall be removed by the Council or the Standing Council.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 14 The highest authority of this Association is the members' congress. The functions and powers of the member representative meeting are:

1 Amend and approve the Articles of Association;

2. Election of directors;

3. Decide on the working principles and important work items of the Association, and consider the work report of the Council;

4. Approve the financial revenue and expenditure plan of the Association and review the implementation;

5. Decide on other major issues.

Fifteenth members' congress can only be held when more than two-thirds of the members are present, and its resolutions can only take effect when more than half of the members are present to vote.

Article 16 Members' Congress shall be held once every four years (the longest term shall not exceed five years). Due to special circumstances, the Standing Council may decide to hold the meeting in advance or postpone it, and report it to the international cooperation department of the Ministry of Agriculture and the Ministry of Civil Affairs for approval.

Article 17 The board of directors shall be composed of directors, who shall be elected by the members' congresses for a term of four years. It is the executive body of the member representative meeting, leading the group to carry out daily work during the intersessional period and being responsible for the member representative meeting.

Article 18 The functions and powers of the Council are:

1 Implement the resolutions of the members' congress;

Elect and recall the president, vice-president and secretary-general, and employ honorary presidents and consultants;

3. Prepare for the meeting of member representatives;

4. Report the work and financial situation to the members' congress;

5. Decide on the acceptance and recall of members;

6. Decide to establish offices, branches, representative offices and entities;

7. To decide on the appointment and removal of the Deputy Secretary-General and the principals of various institutions;

8. Formulate various systems of internal management;

9. Decide on other important matters.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year; Under special circumstances, it can also be held by means of communication.

Article 21 The Association shall set up a standing council, which shall consist of an elected president, vice-president and secretary-general. When necessary, members of the Standing Council may be co-elected. When the Council is not in session, the Standing Council shall exercise the functions and powers of Article 18 (1, 3, 5, 6, 7, 8, 9) and be responsible to the Council (the number of standing directors shall not exceed 0/3 of the number of directors). When the Standing Council deems it necessary, it may decide to convene an interim Council.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall meet at least once every six months.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

1 adhere to the party's line, principles and policies and have good political quality;

2. It has great influence in the business field of the Association;

③ The maximum working age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time;

4. Good health, can insist on normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

Have full capacity for civil conduct.

Article 25 If the president, vice-president and secretary-general of the association are over the maximum working age, they shall be approved by the Council, reviewed by the Department of Industrial Policy and Regulation of the Ministry of Agriculture, the competent business unit, and approved by the Ministry of Civil Affairs, the organization registration management organ.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years. The term of office of the president, vice-president and secretary-general shall generally not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members' representatives of the member representative meeting, reported to the industrial policy and regulation department of the Ministry of Agriculture in charge of business for review, and approved by the Ministry of Civil Affairs, the registration authority of the association.

Article 27 The Secretary-General of this Association is the legal representative of this organization. The legal representative of this group does not concurrently serve as the legal representative of other groups.

Article 28 The President of this Association shall exercise the following functions and powers:

1 Convene and preside over the Standing Council;

2. Check the implementation of resolutions of member congresses, councils and standing councils;

Sign relevant important documents on behalf of this Council.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

1 Preside over the daily work of the office and organize the implementation of the annual work plan;

2. Coordinate the work of branches, representative offices and entities;

Nominate the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submit them to the Council or the Standing Council for decision;

4. To decide on the employment of full-time and part-time staff in offices, representative offices and entities;

Handle other daily affairs.

Chapter V Asset Management and Use

Article 30 The sources of funds of this Association are:

1 Membership dues paid by members;

2. Donations from groups and individuals at home and abroad;

3 government funding;

Income from activities and services within the approved business scope;

5 interest;

6. Other lawful income.

Article 31 the association collects membership fees in accordance with the relevant provisions of the state.

Article 32 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, mainly for various activities organized by this Association. Office expenses of the permanent establishment; Consulting fees for inviting experts and scholars; International exchange expenses; Reward groups and individuals who have made outstanding contributions to the work of the association, and other necessary expenses shall not be distributed among members.

Article 33 An association shall establish a strict financial management system to ensure that accounting information is legal, true, accurate and effective.

Article 34 An association shall be equipped with accountants with professional qualifications. Accountants must conduct accounting and exercise accounting supervision. When accounting personnel transfer their jobs, they must go through the handover procedures with the recipients.

Article 35 The asset management of this Association shall implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the assets come from state grants or social donations or subsidies, they shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate manner.

Article 36 Before an association changes its legal representative, it must be audited by the Civil Affairs Department, the registration authority of the association, and the Industrial Policy and Regulation Department of the Ministry of Agriculture, the competent business authority.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this group.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-ninth amendments to the articles of association shall be submitted to the meeting of members' representatives for discussion and consideration after being voted by the Council.

Article 40 The revised articles of association of this Association shall take effect within 15 days after being reviewed and approved by the Industrial Policy and Regulation Department of the Ministry of Agriculture and submitted to the Ministry of Civil Affairs for approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If this Association is dissolved or needs to be cancelled due to division or merger, a motion shall be put forward by the Council or the Standing Council.

Article 42 The motion to terminate this Association shall be voted by the members' congress and submitted to the Industrial Policy and Regulation Department of the Ministry of Agriculture for examination and approval.

Forty-third before the termination of this association, a liquidation organization should be established under the guidance of the Industrial Policy and Regulation Department of the Ministry of Agriculture and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. Activities other than liquidation shall not be carried out during the liquidation period.

Article 44 The Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.

Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the business and purpose of this Association under the supervision of the Industrial Policy and Regulation Department of the Ministry of Agriculture and the Ministry of Civil Affairs in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the members' congress on June 6, 1998 at/kloc-0.

Article 47 The Council of this Association shall be responsible for the interpretation of these Articles of Association.

Article 48 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
