Article 2 This Association is a local social academic group with independent legal personality, consisting of experts and scholars engaged in Zhouyi research and teaching and people from all walks of life with a certain level of Zhouyi academic research.
Article 3 The purpose of this Association is to carry forward the excellent traditional culture of the nation, promote the continuous development of the study of Yi-ology and serve the cause of socialist modernization within the scope of the Constitution, laws, regulations and state regulations. Article 4 The business scope of the Group.
(a) conscientiously implement a series of principles and policies of the party and the state on traditional culture;
(2) Collect and sort out books, periodicals and documents related to the study of geomantic omen and name culture of Zhouyi, and timely understand and preserve the academic information and research results of geomantic omen and name culture of Zhouyi at home and abroad.
(3) Organize non-profit academic activities such as China Feng Shui academic discussions or reports at home and abroad from time to time, aiming at spreading Chinese wisdom and civilization and promoting the Feng Shui culture of Zhouyi.
(4) Organizing academic seminars and training courses on geomantic omen and famous culture of Zhouyi, popularizing the knowledge of geomantic omen and famous culture of Zhouyi, and guiding the vast number of Yi-ology enthusiasts to learn geomantic omen and famous culture of Zhouyi correctly;
(five) editing and publishing "Zhouyi" collection of geomantic omen, name culture research achievements and related books and periodicals, and distributing them to all parts of the world free of charge or at a nominal fee.
(6) Correctly guide the development of the geomantic name culture science of Zhouyi, discard the dross and extract the essence, get rid of feudal superstitions, and provide consulting services for enterprises and individual families with the knowledge of geomantic name culture of Zhouyi, so that the traditional geomantic name culture of the motherland can truly make an effective contribution to the development of modern society.
(7) Recommend outstanding talents of geomantic omen and Zhouyi name culture to all walks of life at home and abroad through the platform of this association, so that geomantic omen and Zhouyi name culture scholars have a broad space to play.
(8) subsidizing those who have made achievements in the geomantic omen and name culture of Zhouyi and those who have scientifically promoted the geomantic omen and name culture of the motherland, helping those who have practical difficulties in the scientific research of geomantic omen and name culture to solve problems, and making donations to the society from time to time. Article 5 Members of this Association are individual members.
Article 6 A member applying to join this Association must meet the following requirements:
(1) Support the articles of association of this association.
(2) Having the will to join this Association;
(3) It has a certain influence in the business field of the Association.
Article 7 The membership procedure is as follows:
(1) submitting an application for membership;
(2) recommended by two directors;
(3) Holding a membership card issued by an agency authorized by the board of directors.
Article 8 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of this association;
(three) to obtain the priority of our services;
(four) have the right to criticize, suggest and supervise the work of this group;
(5) Freedom to join and quit voluntarily.
Article 9 Members shall perform the following obligations:
(a) To implement the resolutions of this Council;
(two) to safeguard the legitimate rights and interests of the association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(5) Report the situation to this Council and provide relevant information.
Article 10 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member does not pay the membership fee or participate in the activities of the association, it will be deemed as automatic withdrawal.
Article 11. If a member seriously violates the Articles of Association, it shall be removed by voting of the board of directors. Article 12 The highest authority of this Association is the general meeting of members. The functions and powers of the General Assembly are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
Article 13 The general meeting of members shall be attended by more than two thirds of the members, and its resolution shall be valid only if more than half of the members present vote.
Article 14 The general meeting of members shall be held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the Council.
Article 15 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 16 The functions and powers of the Council are:
(a) Implementation of General Assembly resolutions:
(two) to elect and recall the president, vice president and secretary general;
(3) Preparing for convening a general meeting of members;
(four) to report the work and financial situation to the general assembly;
(five) to decide to absorb or recall members;
(6) Deciding to set up an office;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the work of the institutions of this Association;
(nine) to formulate internal management system.
Article 17 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 18 The Association shall establish a standing council. The Standing Council is elected by the Board of Directors. When the Board is not in session, it exercises the functions and powers listed in Item 1, Item 3, Item 5, Item 6, Item 7, Item 8 and Item 9 of Article 16, and is responsible to the Board of Directors (the number of standing directors shall not exceed one third of the number of directors).
Article 19 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 20 The Standing Council shall convene a meeting at least once every six months, and it may also be convened by means of communication under special circumstances.
Article 21 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 22 If the president, vice-president and secretary-general of this Association are over the maximum working age, they can take up their posts only after the unanimous approval of the manager.
Article 23 The term of office of the President, Vice-President and Secretary-General of this Association is five years (the term of office of the President, Vice-President and Secretary-General shall not exceed two). If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members of the general assembly.
Article 24 The president of this Association is the legal representative of this Association.
The legal representative of this group does not concurrently serve as the legal representative of other groups.
Article 25 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council;
(3) Signing relevant important documents on behalf of this Council.
Article 26 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of various institutions;
(3) Nominating deputy secretaries-general and heads of offices and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff in the office. Twenty-seventh sources of funds of the Association:
(1) membership fees;
(2) donation;
(3) social assistance;
(4) Income from activities or services provided within the approved business scope;
(5) interest.
Article 28 The Association shall collect membership fees in accordance with the relevant provisions of the State.
Article 29 the funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.
Article 30 An association shall establish a strict financial management system to ensure the truthfulness, accuracy and completeness of accounting information.
Article 31 The Association shall be equipped with professional accountants. Accounting personnel shall not concurrently serve as cashiers.
Article 32 The asset management of this Association is subject to the supervision of the general meeting of members and the financial department.
Article 33 Before an association changes its legal representative, it must accept the financial audit organized by the association registration authority and the competent business unit.
Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 35 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the relevant provisions of the state. Thirty-sixth amendments to the articles of association shall be approved by the Council and submitted to the general meeting for consideration.
Article 37 The revised articles of association of this Association shall come into effect within 65,438+05 days after being adopted by the general meeting of members, reviewed and agreed by the competent business unit and reported to the registration authority of this Association. Article 38 If the Association completes its purpose, is dissolved or needs to be cancelled due to its establishment or merger, the board of directors shall propose a termination motion.
Article 39 The motion to terminate this Association shall be voted by the general meeting of members and reported to the competent business unit for approval.
Article 40 Before the termination of this Association, the creditor's rights and debts shall be carefully and properly cleared up, and the aftermath shall be well done. During the liquidation period, no activities other than liquidation will be carried out.
Article 41 An association shall be terminated after its registration is cancelled by the association registration authority.
Article 42 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association in accordance with relevant state regulations. Article 43 The right to interpret the Articles of Association belongs to the Council of the Association.
