chapter one
Article 1 The name of this Association is China Association of Chinese Medicine (CACM for short). Article 2 The China Society of Traditional Chinese Medicine (hereinafter referred to as the Society) is a national, academic and non-profit legal person social organization which is composed of scientific and technical workers and managers of traditional Chinese medicine, as well as medical treatment, education, scientific research, prevention, rehabilitation, health care, production and business operation units of traditional Chinese medicine. It is the link between the Party and the government to contact Chinese medicine science and technology workers, a part of China Association for Science and Technology, and an important social force for the development of Chinese medicine science and technology. Article 3 This Association unites the vast number of Chinese medicine and related natural science and technology workers and management workers, abides by the national constitution, laws, regulations and national policies, abides by social ethics, promotes excellent national medicine culture, promotes the prosperity and development of Chinese medicine science and technology, promotes the popularization of Chinese medicine science and technology, and promotes the growth and improvement of Chinese medicine science and technology talents and management talents, so as to serve the health of our people and the socialist modernization. Safeguard the rights and interests of Chinese medicine science and technology workers according to law, serve Chinese medicine science and technology workers, practice Theory of Three Represents hard, and contribute to building a well-off society in an all-round way.
Carry out the provisions of "letting a hundred flowers blossom and a hundred schools of thought contend" and the Constitution on "developing modern medicine and traditional medicine in China" and the policy of health work in the new period, adhere to the policy of "paying equal attention to both Chinese and Western medicine and developing Chinese medicine", hold democratic meetings according to law, continuously deepen reforms, and carry out various activities around the national scientific and technological key points and health work tasks. Follow the principle of combining inheritance with innovation, insist on paying equal attention to traditional Chinese medicine, maintain and carry forward the characteristics and advantages of traditional Chinese medicine, actively use modern science and technology, promote the development of theory and practice of traditional Chinese medicine, promote the modernization of traditional Chinese medicine, and push traditional Chinese medicine to the world. Article 4 The Association accepts the professional guidance, supervision and management of the China Association for Science and Technology and the Ministry of Civil Affairs, the registration authority. Article 6 The Association will carry out the following business activities around Chinese medicine and related disciplines:
(a) to carry out various forms of academic activities of traditional Chinese medicine, and organize research and scientific investigation activities on key academic topics;
(two) editing and publishing periodicals, books, materials and audio-visual products such as academic technology, information and popular science of traditional Chinese medicine;
(three) to carry out continuing education of Chinese medicine, improve the academic level of members and the majority of Chinese medicine science and technology workers, and popularize and publicize Chinese medicine among the masses;
(four) to reflect the opinions, suggestions and requirements of Chinese medicine practitioners to the government and relevant departments;
(five) the organization of Chinese medicine experts to assist the government in the demonstration of Chinese medicine policies and regulations, development strategy, science and technology policies and management decisions;
(six) to undertake various tasks and tasks entrusted and assigned by the government and relevant departments in the transformation of functions;
(seven) to select and reward outstanding scientific and technological achievements, academic papers and popular science works of traditional Chinese medicine. To publicize and reward Chinese medical personnel with noble medical ethics and excellent business. To discover, recommend and cultivate outstanding scientific and technological talents of traditional Chinese medicine, commend and reward members who have made outstanding achievements in scientific and technological activities of traditional Chinese medicine and academic personnel who have made outstanding achievements in our work;
(eight) to carry out academic exchanges and cooperation with international and Hong Kong, Macao and Taiwan regions, and to strengthen ties with relevant international and regional academic groups and scholars;
(nine) to develop and popularize the scientific and technological achievements of traditional Chinese medicine and provide scientific and technological advice to the relevant departments.

Article 7 The Association has six types of members: members, junior college members, senior members, group members, foreign members and honorary members. Article 8 The conditions for all kinds of members:
Anyone who recognizes the Articles of Association and meets one of the following membership conditions may voluntarily apply to join the Association.
(1) member
1, graduated from higher medical colleges, and obtained the titles of practicing doctor of traditional Chinese medicine, teaching assistant, internship researcher, assistant editor and technician.
2, engaged in traditional Chinese medicine related work, with the above corresponding technical titles.
(2) Associate Members
Members of this Association have been engaged in the work of attending physician (or corresponding technical title) for more than five years, or have obtained specialist certificate through specialist training, or obtained relevant deputy chief physician or corresponding technical title.
(3) Senior member
Members of the association have obtained the titles of chief physician, professor and researcher or corresponding technical titles, have high academic prestige, play a leading role in the development of related disciplines, or make outstanding achievements in the field of Chinese medicine science and technology, make important contributions, enthusiastically support the work of the association, and can fulfill the obligations of senior members.
(4) Group members
Chinese medicine medical, educational and scientific research institutions, legally registered associations and pharmaceutical enterprises that are related to my major, willing to participate in my professional activities, support my professional work, have certain social influence and have a certain number of scientific and technological personnel.
(5) Foreign members
Famous foreign medical experts who supported our work and sponsored our activities have made important contributions to the cause of traditional Chinese medicine in China.
(6) Honorary member
Celebrities at home and abroad are willing to exchange and cooperate with the Association and make important contributions to promoting medical exchanges between China and other countries (or regions). Article 9 Membership procedures:
Individual members apply by themselves (or units), and two members of the association are introduced or recommended by their units. The association entrusts the Chinese medicine societies of provinces, autonomous regions and municipalities directly under the Central Government to handle the membership conditions and membership procedures as stipulated in the articles of association. Other members shall go through the membership procedures in accordance with the Measures for the Administration of Members of Chinese Medicine Association.
Article 10 Rights and obligations of all kinds of members
I members and expert members
1, right
(1) Enjoy the right to vote, stand for election and vote.
(2) Enjoy the right to criticize, suggest and supervise the work of this Association and its professional branches.
(3) Give priority to participating in relevant academic activities at home and abroad organized by the Association and its specialized branches, and give priority to sending representatives to attend relevant international academic conferences.
(4) Give priority to publishing papers in academic journals sponsored by the Association, and give priority to obtaining academic materials of the Association or its specialized branches.
5] Membership is voluntary and withdrawal is free.
2. Obligations
(1) Abide by the Articles of Association.

2. Obligations
Participate in the demonstration and consultation activities organized by the association on the development strategy, policies and major decisions of the national traditional Chinese medicine work. Third, group members.

(2) Obtain relevant academic materials of the Association.

2. Obligations
Members have the same obligations as junior college members. Eleventh all kinds of membership certificate or letters of appointment shall be uniformly printed by the Association. Article 12 A member who withdraws from the meeting shall notify the issuing unit in writing and return the membership card. Members 1 year who fail to pay their membership fees or participate in the activities of the association are deemed to have withdrawn automatically. Article 13 If a member seriously violates the articles of association, he/she shall be removed from the membership by voting of the Council or the Standing Council.

Article 14 The highest authority of this Association is the National Congress of its members, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deliberating and passing bills and resolutions;
(six) to decide on other major issues. Article 15 In principle, the National Congress of Members can only be convened when more than two-thirds of the national members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote. Article 16 The National Congress of Members shall be held every five years to elect a new Council. If the meeting needs to be held in advance or postponed due to special circumstances, it must be approved by the Council or the Standing Council, reported to the competent business unit for review, and approved by the association registration authority, but the longest extension shall not exceed 1 year. Article 17 The Council is the executive body of the member congress, and when the member congress is not in session.
During this period, he will lead the work of the association and be responsible to the members' congress for a term of five years. Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the National Congress of Members;
(2) Preparing for the convening of the National Congress of Members;
(three) to elect and recall the president, vice president and secretary general;
(four) to report the work and financial situation to the member national congress;
(5) Deciding to establish offices, branches, representative offices and entities;
(six) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(seven) to lead the work of the institutions of this Association;
(eight) to formulate the internal management system of the association;
(nine) to examine and approve the annual academic plan and work plan;
(ten) to raise and manage the funds of the institute;
(eleven) to decide on other major issues. Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present. Article 20 In principle, the Council shall hold a meeting once a year, which may also be held in the form of communication. Article 21 The Association shall establish a standing council. The Standing Council is elected by the Board of Directors, and the number of standing directors shall not exceed 65,438+0/3 of the total number of directors. When the Council is not in session, it shall exercise the functions and powers specified in Items 1, 3, 5, 6, 7, 8, 9, 10 and 11 of Article 18 and be responsible to the Council. Article 22 The resolution of the Standing Council shall take effect only if it is approved by more than two-thirds of the standing directors present at the meeting. Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances. Article 24 The professional branches under this Association are branches of this Association and are unincorporated organizations. The specialist branch is established according to the discipline of traditional Chinese medicine, and its name is "XXX Branch of Chinese Medicine Association". The specialist branch is an academic organization under the leadership of the Council, which is responsible for organizing academic activities in this major. Article 25 The President, Vice President and Secretary General of this Association shall be elected by the Standing Council and must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has a high reputation in the field of traditional Chinese medicine;
(3) In principle, the maximum working age of the president and vice-president shall not exceed 70 years old, and the working age of the secretary-general shall not exceed 65 years old, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct;
(seven) love the cause of Chinese medicine, love learning and work, a strong sense of responsibility. Article 26 The president, vice-president and secretary-general of the Association shall be approved by the Council or the Standing Council, reported to the competent business unit for examination, and approved by the registration authority of the Association before taking up their posts. Article 27 The term of office of the president, vice-president and secretary-general of this Association shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by the Council or the Standing Council, reported to the competent business unit for review, and approved by the association registration authority before taking office. Article 28 According to the proposal of the President, the current legal representative is the Secretary-General. Article 29 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the National Congress and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of the Association; Article 30 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
chapter five
Thirty-first sources of funds for this group:
(1) membership fees;
(2) donation;
(3) Funded by China Association for Science and Technology and state administration of traditional chinese medicine;
(four) funded by the relevant departments;
(5) Income from activities or services provided within the approved business scope;
(6) interest;
(7) social funds;
(8) Other lawful income. Article 32 the association collects membership fees in accordance with relevant state regulations. Article 33 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members. Article 34 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information. Article 35 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient. Article 36 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way. Article 37 Before an association changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association. Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of this Association. Article 39 The wage insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter vi
Article 40 Any amendment to the articles of association of this Association shall be approved by the Council or the Standing Council and submitted to the members' congress for deliberation. Article 41 The revised articles of association of this Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit and reported to the association registration authority.
Chapter VII
Article 42 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a motion for termination. Article 43 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval. Forty-fourth before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. Article 45 The registration authority of the association shall terminate after cancellation of registration. Article 46 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration administration organ of this Association in accordance with the relevant provisions of the state.
Chapter VIII
Article 47 The Articles of Association was adopted by the Fourth National Congress on September 26th, 2003. Article 48 The right to interpret the Articles of Association belongs to the Council of the Association. Article 49 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
