Constitution of the International Education Association

Article 1 The name of this Association is "International Education Association" and the English name is Association of International Education.

Article 2 The International Education Association (hereinafter referred to as the Association) is an educational industry trade organization established with the approval of the registration authority of the government association of the country where the Association is located, and has independent legal personality.

Article 3 Purpose of the Association: Strengthen international exchanges and cooperation, strive to develop global education and promote social progress. Abide by the constitutions, laws, regulations and policies of various countries, and abide by social ethics.

Article 4 This Association implements the organizational principle of democratic centralism; The working principle is close to education, close to students, providing professional and thoughtful services for students and promoting the development of global education.

Article 5 The business scope of this Association:

(a) to implement the relevant international policies, formulate rules and regulations suitable for the development of the industry, establish a self-discipline mechanism for the industry, guide the industry to regulate its own behavior, promote equal competition in the industry, and improve the overall quality of the industry; Safeguard the overall interests of the industry;

(two) to investigate and study the major issues and hot issues in the development of the industry, and put forward suggestions to the relevant international departments; Provide reference for government departments of various countries to formulate policies; Assist the government in developing education and undertake matters entrusted by relevant government departments;

(three) to supervise the operation of the industry and assist the government to carry out activities such as industry appraisal and commendation;

(four) to carry out academic research; Pay attention to industry trends, release information well, and promote new projects, new technologies, new achievements and new courses in time;

(five) to hold industry review meetings, conferences and briefings on relevant educational products;

(6) Organizing lectures, seminars, exchanges and training;

(seven) to collect and sort out the relevant professional information in the world, and to compile and publish the information of this industry;

(eight) the timely establishment of business entities, to carry out professional consulting services and intermediary services;

(nine) to strengthen ties with the international industry and organize educational exchanges and visits between countries; Actively participate in global industry activities.

(ten) to organize exchanges and cooperation among members, within the industry and with related industries, and promote the synchronous development of this industry and other industries;

(eleven) reflect the wishes of members, safeguard the legitimate rights and interests of members, and provide relevant services for members.

Article 6 Members of this Association are divided into group members and individual members.

Article 7 A member applying to join this Association must meet the following conditions:

(a) Acknowledge and support the Articles of Association;

(2) Having the will to join the association;

(3) Having a good reputation in the industry;

(4) Being a student of the International Education Association and having participated in relevant training of the International Education Association;

(five) individuals, enterprises and institutions in various fields of the industry and related organizations.

Eighth celebrities who are enthusiastic about education and promote international education cooperation may be directly hired as honorary members by the Standing Council.

Article 9 Membership procedures:

(1) Submit the application form for membership and relevant supporting documents;

(two) after discussion and approval by the secretariat of the association, it can become a unit member and an individual member;

(three) the association secretariat issued a membership card.

Article 10 Members of the Association shall enjoy the following rights:

(a) have the right to vote, to be elected and to vote;

(two) to participate in relevant activities organized by the association;

(3) Have the right to get the services of the Association first;

(four) have the right to supervise, criticize and make suggestions on the work of the association;

Article 11 Members shall perform the following obligations:

(1) Implementing the resolutions of the Association;

(two) to safeguard the legitimate rights and interests of the association;

(three) to complete the work entrusted by the association;

(four) in accordance with the provisions of timely payment of membership fees;

(five) actively report the situation to the association and provide academic papers, technical materials or related information;

(six) actively make suggestions for the development of the association;

(7) Members shall pay their dues and attend meetings on time. If you don't pay the membership fee for more than half a year or don't participate in the activities of the association within one year, it will be regarded as automatic withdrawal.

Article 12 When a member withdraws from the meeting, he shall notify the secretariat of the Association in writing and return his membership card.

Article 13 The Standing Council shall commend or award honorary titles to its members according to the following circumstances:

(a) to promote the reform and development of the industry has made remarkable achievements;

(two) outstanding achievements in professional teaching and training;

(three) actively make suggestions for the association and made remarkable achievements;

(4) It has made outstanding contributions to promoting the development of global education industry.

Fourteenth in any of the following circumstances, with the approval of the Standing Council, it shall be removed from the list and its membership shall be cancelled:

(1) Violating the laws and regulations of the country where the association is located, which constitutes a crime;

(two) there are serious violations of the law, causing adverse effects;

(three) a serious violation of the articles of association, affecting the work and reputation of the association;

(four) damage the interests of the association, damage the image of the association.

Creation and removal of the organization and the person in charge.

Article 15 The highest authority of the Association is the members' congress. The functions and powers of the members' congress:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(four) to decide on the working principles and major issues of the association;

(five) to decide on the termination of the association.

Sixteenth members' congress can only be held when more than two-thirds of the members' representatives are present. The resolution shall take effect only if it is approved by more than half of the member representatives present at the meeting.

Article 17. Members' congress is held once every two years. If it needs to be changed or postponed in advance due to special circumstances, it must be voted by the Standing Council, reported to the competent department of the country where the association is located for review, and approved by the registration management institution of the association. But the extension period shall not exceed one year.

Article 18 The Council is the executive body of the general meeting of members. When the congress is not in session, lead the association to carry out its daily work and be responsible to the congress.

Article 19 The functions and powers of the Council:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president, secretary general and executive director;

(three) to prepare for the convening of the members' congress;

(four) to make work reports and financial status reports to the members' congress;

(5) Deciding to establish offices, branches, representative offices and entities;

(six) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(seven) to formulate the work plan of the association and lead the institutions of the association to carry out their work;

(eight) to formulate internal management system;

(9) Deciding on other major matters.

Article 20 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 21 The Council shall meet at least once a year; Special circumstances can also be held in the form of communication.

Article 22 The Association shall establish a standing council, which shall be elected by the council. The Standing Council presides over the daily work of the Council when the Council is not in session and is responsible to the Council. Its duties are:

(a) Exercising the functions and powers of Item (1), (3), (5), (6), (7), (8) and (9) of Article 20.

(two) put forward various suggestions and work plans that need to be discussed by the Council;

(three) to guide the work of the secretariat of the association;

(4) Hiring honorary presidents, consultants and honorary directors;

Article 23 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 24 The Standing Council shall meet at least once every six months. Special circumstances can also be held in the form of communication.

Article 25 The executive director must attend the meeting on time. If he fails to attend the meeting for three times in a row, he will be deemed to have voluntarily waived his post qualification.

Article 26 The Association shall have a president, vice presidents and a secretary-general. The president, vice president and secretary general must meet the following conditions:

(a) Being internationally recognized and well-known in the field of education;

(two) familiar with the education industry, make outstanding contributions to the work of this association;

(four) the maximum age of the president, vice president and secretary general is generally not more than 60 years old.

(5) Being healthy and able to stick to normal work;

(6) Having full capacity for civil conduct.

Article 27 If the president, vice-president and secretary-general are over the maximum age, they must be approved by the board of directors, reported to the competent business unit and approved by the registration authority of the association before taking up their posts.

Article 28 The term of office of the President, the Vice-President and the Secretary-General is two years.

Article 29 The legal representative of this Association is the president; May no longer serve as the legal representative of other social organizations.

Article 30 The President shall exercise the following functions and powers:

(a) to convene and preside over the Council (or the Standing Council);

(two) to check the implementation of the resolutions of the members' congress and the Council (or the Standing Council);

(three) to preside over the daily work of the association;

(4) Signing relevant important documents on behalf of the Association.

Article 31 The Secretary-General shall exercise the following functions and powers:

(a) under the leadership of the dean, presided over the daily work of the office, organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(4) proposing to employ offices, representative offices, entities and full-time personnel;

(5) Handle other daily affairs.

Article 32 The president, vice-president and secretary-general must report their work to the Standing Council every year, which will consider and approve it. Those who fail more than twice cannot be the next leader.

Principles of asset management and use

Thirty-third sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) Income from activities or services provided within the approved business scope;

(4) interest;

(5) Other lawful income.

Article 34 The Association shall collect membership fees in accordance with relevant international regulations.

Article 35 the funds of the association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed or misappropriated among members.

Article 36 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 37 An association shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accounting must carry out accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 38 The asset management of an association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation, it shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate way.

Article 39 Before an association changes or changes its legal representative, it must accept the financial audit of the competent department of the country where it is located and the association registration management institution.

Article 40 No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Article 41 This Association has an independent emblem.

Supplementary rules

Article 42 The Articles of Association was passed by voting at the first general meeting of the second session of the Company on March 6, 2008.

Article 43 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 44 The Articles of Association shall come into force as of the date of approval by the association registration authority.

Article 45 Any amendment to the Articles of Association must be approved by the board of directors and submitted to the members' congress for deliberation. The revised articles of association shall be submitted to the relevant departments within 15 days after being adopted by the members' congress, and shall come into effect after being reviewed and agreed by the competent business department of the country where the association is located and approved by the registration administration of the association.
